菲林格爾(603226.SH)2021年度淨利潤預降62.22%-67.15%
格隆匯1月24日丨菲林格爾(603226.SH)公佈，預計2021年年度實現歸屬於上市公司股東的淨利潤為2000萬元到2300萬元，與上年同期(法定披露數據)相比，將減少3788萬元到4088萬元，同比減少62.22%到67.15%。
歸屬於上市公司股東的扣除非經常性損益的淨利潤預計為6000萬元到6600萬元，與上年同期(法定披露數據)相比，將增加271萬元到871萬元，同比增長4.72%到15.19%。
本期業績預減的主要原因：2021年2月9日，公司召開第五屆董事會第五次會議，以8票同意、0票反對、0票棄權（獨立董事曹效軍先生因個人原因請假未出席），審議通過了《關於全資子公司對外提供財務資助的議案》，具體內容詳見《關於全資子公司對外提供財務資助的公吿》(公吿編號：2021-002)。
公司全資子公司上海菲林格爾木業銷售有限公司(已更名為“菲林格爾木業(上海)有限公司”，“木業公司”)與中南建設(000961.SZ)簽訂《借款協議》、《借款協議之補充協議》及《股權質押協議》。雙方約定，木業公司向中南建設提供5000萬元財務資助，借款年利率10%，期限自出借日至2023年9月，中南建設同意分別在合作期限內的每年12月31日前將出借款項暫時退回到木業公司賬户，以確認本金安全。同時，中南建設以其項目公司合肥晟南置業有限公司60%的股權作為質押擔保，登記編號340171202100000016。
截至2021年12月31日，木業公司已收到中南建設支付的2021年度利息3,931,506.85元，但未收到返還本金5000萬元。
木業公司已於2022年1月21日向上海市奉賢區人民法院正式提交訴訟材料並申請財產保全，目前該案件尚處於法院受理階段。如涉及信息披露事項，公司將根據後續進展嚴格履行信息披露義務。同時，公司董事會及管理層將保留追究公司內外部相關責任人的權利。
