安捷利實業(01639.HK)獲安利及安捷利美維溢價15%提私有化 明起復牌
格隆匯1月16日丨聯席要約人安利實業有限公司及安捷利美維電子(廈門)有限責任公司與安捷利實業(01639.HK)聯合公吿，聯席要約人及公司各自的董事聯合宣佈，2022年1月14日，聯席要約人要求董事會向計劃股東提呈建議，根據公司條例第673條以協議安排方式將公司私有化。
倘建議獲批准及實施：(a)於記錄日期已發行的所有計劃股份將於生效日期註銷及剔除，以換取聯席要約人就每股計劃股份以現金向各計劃股東支付註銷價1.82港元(減股息調整(如有))；註銷價(假設並無股息調整)，較股份於最後交易日在聯交所所報的收市價每股1.58港元溢價約15.19%。
(b)將於生效日期透過註銷及剔除計劃股份削減公司的已發行股本，而緊隨有關注銷、剔除及削減後，透過公司向聯席要約人發行數目相當於生效日期已註銷及剔除的計劃股份數目的新股份(透過動用因有關注銷、剔除及削減而產生的儲備入賬列作繳足)將公司已發行股本恢復至緊接有關注銷、剔除及削減前的金額；
(c)公司將由安利及安捷利美維分別擁有40%及60%；及(d)股份於聯交所的上市地位將根據上市規則第6.15(2)條撤銷。
假設公司於記錄日期或之前不會進一步發行股份及根據限制性股票激勵計劃不會再授出限制性股票，則建議將涉及註銷及剔除984,337,500股計劃股份，以換取聯席要約人向各計劃股東以現金支付註銷價每股已註銷及剔除計劃股份1.82港元(減股息調整(如有))。假設將不會進行股息調整，則執行建議所需現金總額將約17.91億港元，該款項將由安利及安捷利美維分別繳付約1.12億港元及約16.80億港元。
聯席要約人擬自其內部現金儲備撥付執行建議所需全部現金款項。聯席要約人的財務顧問中金公司信納，聯席要約人擁有足夠財務資源可履行其有關悉數執行建議的義務。
計劃生效後，於記錄日期已發行的所有計劃股份將被註銷及剔除(向聯席要約人發行同等數目的新股份併入賬列作繳足)，而該等計劃股份的股票其後將不再具有所有權文件或憑證的效力。公司將根據上市規則第6.15(2)條向聯交所申請撤銷股份於聯交所的上市地位，緊隨生效日期後生效。
公司已向聯交所申請股份自2022年1月17日上午9時正起恢復買賣。
聯席要約人，安利為一家於香港註冊成立的有限公司，為公司控股股東，為北方工業的全資附屬公司。其主要從事投資控股。北方工業為一家於中國註冊成立的有限公司。北方工業主要從事貿易及投資業務，由中國兵器工業、中國兵器裝備及中國國新控股有限責任公司(該等公司均由國資委全資擁有)分別擁有56.70%、37.54%及5.76%權益。
安捷利美維為一家於中國註冊成立的有限公司。其自2019年12月成立以來，一直由美智投資(廈門)有限公司、廈門半導體投資集團有限公司及公司分別擁有53%、40%及6%權益。美智投資(廈門)有限公司及廈門半導體投資集團有限公司均由廈門市海滄區政府實益全資擁有。安捷利美維主要從事提供高密度互連印刷電路板(剛性板、柔性板及剛柔結合板)、封裝基板及解決方案服務。
