宋都股份(600077.SH)風險提示：公司設立鋰業子公司僅為初步的意向和計劃 主營業務仍為房地產經營與銷售
格隆匯1月6日丨宋都股份(600077.SH)公佈關於股票交易風險提示公吿，公司股票價格於2021年12月31日，2022年1月4日，2022年1月5日連續三個交易日內收盤價格漲幅偏離值累計達到20%。2022年1月6日公司股價再次漲停。鑑於短期內公司股票價格波動較大，公司現對有關事項和風險説明如下，敬請廣大投資者理性決策，注意投資風險。
1.公司設立鋰業子公司僅為初步的意向和計劃，無相應的資源和技術，後續進展存在重大不確定性。公司於2022年1月5日披露了由2021年12月31日公司召開的董事會、監事會審議通過的《關於新設全資子公司的議案》。公司目前未具備發展鋰業的人員、技術、設備、資源，未簽訂相關投資協議。鋰業領域屬於資源密集型、人才緊缺型的行業，需要的投資成本較高，估值存在一定不確定性。其經營可能面臨行業環境、宏觀經濟、市場變化等因素的影響，後續進展存在重大不確定性。
2.公司主營業務仍為房地產經營與銷售，近一年又一期淨利潤同比減少。根據最近一期經審計的年度報吿顯示，2020年度公司房地產業務收入佔營業收入的97.10%。公司2020年歸屬於上市公司股東淨利潤為3.52億元，較上年同期減少40.08%，2021年前三季度歸屬於上市公司股東淨利潤為0.61億元，較上年同期減少63.40%。請廣大投資者注意生產經營風險。
3.員工持股計劃存續期即將屆滿，不排除後續出售的安排。公司2016年員工持股計劃延期後的存續期將於2022年3月22日屆滿，不排除後續出售的安排。截至2016年3月30日，公司完成2016年員工持股計劃的股份購買，購買股份數為49,946,767股(佔總股本的3.73%)，成交均價為5.406元/股。
4.大股東質押比例較高且公司為控股股東提供的存單質押擔保餘額尚有292,260萬元未解決。截至本公吿披露日，公司控股股東及其一致行動人累計質押股票數量為532,000,000股，佔其所持股份(672,121,914股)比例的79.15%，股票質押比例較高。截至目前控股股東仍有292,260萬元存單質押擔保餘額尚未解決。若控股股東及實際控制人未能在2023年底前履行完成徹底解決存單質押互保情形的承諾，則公司存在較大風險敞口。
