盛業資本(06069.HK)與無錫國金及無錫通匯投資訂立合作協議
格隆匯1月4日丨盛業資本(06069.HK)公吿，於2022年1月4日，買方集團（公司、買方盛業數字科技（無錫）有限公司、盛卓及盛業商業保理的統稱）、無錫國金及賣方無錫通匯投資有限公司訂立合作協議以加強其合作及為無錫國金所從事的供應鏈金融業務提供融資支持。
根據合作協議，訂約方均同意（其中包括）：(i)賣方集團須為無錫國金提供擔保，以擔保其向銀行及金融機構進行外部融資項下的還款責任；賣方集團擔保的詳情將載列於擔保協議內；(ii)買方集團各自須向賣方集團提供增信措施；及(iii)無錫國金須落實合作協議項下訂明的企業管治及內部監控措施。
於2022年1月4日，盛業商業保理、無錫國金及賣方集團訂立擔保協議以為無錫國金所從事的供應鏈金融業務提供融資支持。根據擔保協議，訂約方均同意（其中包括）：(i)賣方集團須向無錫國金提供信貸融資及賣方集團擔保；及(ii)盛業商業保理須向賣方集團提供盛業商業保理反擔保，以擔保賣方集團融資及賣方集團擔保項下無錫國金的還款責任，擔保限額最高總額不得超過人民幣33億元。
據悉，無錫國金由賣方與盛卓（盛業商業保理擁有其51%股權的附屬公司）於2018年6月12日在中國成立為合營企業，以經營供應鏈金融業務。於2021年12月6日，買方於完成後成為無錫國金的股權持有人。賣方及無錫交通集團仍分別為無錫國金的直接及間接股東。
透過收購無錫國金股權，集團預計於完成後利用無錫交通集團在交通產業生態系統中的強勢地位以獲取更多客户，並在交通運輸及基礎設施領域獲得更廣泛的商機。此外，國有集團帶來的本地網絡及資金支持將使集團能夠更有效地擴張。
監於其國企背景，賣方集團能夠以低於集團的融資成本向無錫國金提供融資。無錫國金亦可自第三方（如中國的銀行）獲得融資，使集團更為靈活地使用其資金。董事注意到中國的銀行可能為由國有企業擔保的有關融資提供較低利率。賣方及無錫交通集團為國有企業，彼等均同意向無錫國金提供融資或擔保，買方集團及Tung先生均亦因此同意向賣方集團提供增信措施。此外，於訂立合作協議後，賣方將委任無錫國金的管理層人員，加強無錫國金的內部監控及企業管治，確保對國有資產進行可持續監控，並進一步向無錫國金引進產業專業技術，從而加強產業科技合作。
