創源股份(300703.SZ)：寧波市國資委將成為公司實控人 明起復牌
格隆匯12月29日丨創源股份(300703.SZ)公佈，2021年12月28日，公司控股股東寧波市北侖合力管理諮詢有限公司(“合力管理諮詢”)與任召國簽訂了《股權轉讓協議A》、其全體股東與寧波市文化旅遊投資集團有限公司(“寧波文旅投”)簽訂了《任召國等與寧波市文化旅遊投資集團有限公司關於寧波市北侖合力管理諮詢有限公司、寧波創源文化發展股份有限公司的股權轉讓協議》(“《股權轉讓協議B》”)，就合力管理諮詢股權轉讓事宜達成一攬子協議：
合力管理諮詢持有創源股份股票5644.95萬股，佔創源股份總股本的比例為30.88%，為創源股份控股股東；任召國持有創源股份股票810萬股，佔創源股份總股本的比例為4.43%，為創源股份實際控制人。合力管理諮詢與任召國為一致行動人，合計持股6454.95萬股，佔創源股份總股本的比例為35.31%。
(1)在《股權轉讓協議B》經寧波市文化旅遊投資集團有限公司上級主管國有資產監督管理機構批准後，且公司股東大會同意豁免相關股份自願鎖定承諾後，首先由合力管理諮詢通過協議轉讓方式向任召國轉讓所持創源股份股票365.65萬股(佔創源股份總股本的比例為2.00%)，轉讓完成後，合力管理諮詢持有創源股份股票5279.3萬股(佔創源股份總股本的比例為28.88%)；
(2)上述交易完成後，合力管理諮詢的全體股東將其持有的合力管理諮詢的100%股權轉讓給寧波文旅投。
上述2項交易步驟綁定操作，交易全部完成後，寧波文旅投持有合力管理諮詢100%股權，間接持有創源股份股票5279.3萬股，佔創源股份總股本的比例為28.88%，折算的上市公司每股收購成本約15.32元/股；任召國持有創源股份股票1175.65萬股，佔創源股份總股本的比例為6.43%。
根據上述交易安排，若此次交易最終實施，將導致公司控制權變更，寧波文旅投的實際控制人寧波市人民政府國有資產監督管理委員會(“寧波國資委”)成為創源股份實際控制人，合力管理諮詢仍為創源股份控股股東不變。
