文科園林(002775.SZ)：公司實控人將變更為佛山市國資委 明起復牌
格隆匯12月22日丨文科園林(002775.SZ)公佈，公司控股股東、實際控制人李從文、趙文鳳夫婦及一致行動股東深圳市文科控股有限公司(“文科控股”)擬向佛山市建設開發投資有限公司(“佛山建投”)協議轉讓其持有的部分股份，合計117,936,422股股份(約佔公司總股本的23.00%)；同時文科控股承諾，股份轉讓完成之日起，文科控股將其剩餘的19,509,978股股份(約佔公司總股份的3.80%)的表決權全部委託給佛山建投。
在協議轉讓及表決權委託完成後，佛山建投擁有公司表決權的比例將達到26.80%，佛山建投將取得公司控制權，公司實際控制人變更為佛山市人民政府國有資產監督管理委員會(“佛山市國資委”)。
另外，佛山建投與公司簽署了附條件生效的《股份認購協議》，佛山建投擬通過現金方式認購公司非公開發行股票不超過1億股(最終數量以中國證監會核准文件的要求為準)，在不考慮可轉債轉股等其他因素導致股本數量變動的情況下，按照發行上限計算，佛山建投擁有公司表決權的比例將達到公司發行後總股本的38.75%。此次發行完成後，佛山建投將進一步鞏固對公司的控制權。
此次交易引入國有資本股東佛山建投，有利於優化公司股東結構，有利於增強公司的金融信用和資金實力，有利於提高公司抗風險能力，有利於完善公司生態環境產業鏈，有利於優化升級公司主營業務結構，有利於提高公司綜合盈利能力，有利於公司更好地參與粵港澳大灣區乃至全國的生態文明建設。公司與佛山建投將密切合作，利用好各自資源及平台優勢，按照市場化原則，擇機對相關資產進行整合重組，全力將公司打造成為粵港澳大灣區綠色生態建設、智慧產城運營和綠色建築建材為一體的龍頭上市企業，成為上市公司混合所有制改革的經典範例。
根據有關規定，經向深圳證券交易所申請，公司股票和公司可轉換公司債券(債券簡稱：文科轉債， 債券代碼：128127)自2021年12月23日開市起復牌。
