海吉亞醫療(06078.HK)擬收購單縣海吉亞醫院0.82%股權並簽訂新合約安排 實現完全控制
格隆匯12月21日丨海吉亞醫療(06078.HK)宣佈，於2021年12月21日，買方(海吉亞醫院管理，由向上投資全資擁有，並根據現有合約安排為公司附屬公司)與賣方(菏澤醫療、吉祥康達及海悦康健，均為目標醫院限制性股份計劃的實施平台)進一步訂立股權轉讓協議，據此，買方有條件同意購買而賣方有條件同意出售目標醫院單縣海吉亞醫院合共約0.82%股權，總代價為人民幣1183.56萬元。
此外，買方、伽瑪星科技、目標醫院及向上投資將按與現有合約安排大致相同的條款及條件就完成後由買方將收購的目標醫院約0.82%股權訂立新合約安排，這將使公司能夠控制目標醫院0.82%的股權並取得由此產生的經濟利益。
截至公吿日期，公司通過海吉亞醫療科技及伽瑪星科技間接持有目標醫院70%股權，並根據現有合約安排控制由買方所持有的目標醫院29.18%股權，而賣方則持有目標醫院餘下0.82%股權。因此，目標醫院為公司的非全資附屬公司。於完成後，公司將通過海吉亞醫療科技及伽瑪星科技間接持有目標醫院70%股權，並根據現有合約安排及新合約安排控制將由買方所持有的目標醫院30%股權。因此，目標醫院將成為公司的全資附屬公司，且目標醫院的財務業績將繼續綜合入賬至集團財務報表。
公吿稱，於先前收購事項後，公司與賣方就股權轉讓協議項下的收購事項達成進一步協議，使集團於目標醫院的權益進一步增加至100%，從而完全控制及影響目標醫院的管理及運營、使集團得以取得目標醫院的所有經濟利益，併為集團的戰略決策提供更多靈活性。
據悉，截至公吿日期，目標醫院為公司的一間附屬公司。公司通過海吉亞醫療科技及伽瑪星科技間接持有目標醫院的70%股權，並根據現有合約安排控制買方所持有的目標醫院29.18%股權。目標醫院餘下0.82%股權乃由賣方持有。
目標醫院成立於2012年12月，於2016年五月開始營運。目標醫院目前為一家位於中國山東省菏澤市的民營營利性二級綜合醫院。目標醫院目前持有有效的醫療機構執業許可證、放射診療許可證及輻射安全許可證，並提供廣泛的專科醫療服務，包括但不限於腫瘤科、骨科、心內科、ICU(重症監護室)、眼科及血液透析科。截至2020年12月31日，其擁有註冊牀位400張。
