ST貴人(603555.SH)：董事親屬短線交易及致歉
格隆匯12月13日丨ST貴人(603555.SH)公佈，公司獨立董事貝洪俊於2021年7月2日經公司 2021 年第二次臨時股東大會審議通過首次當選為公司獨立董事。經核查，貝洪俊之配偶許國君於2021年6月至2021年12月買賣了公司股票，其於貝洪俊擔任公司獨立董事期間買賣公司股票的行為違反了《證券法》的相關規定，構成短線交易。
經核查，2021年6月3日至2021年12月10日期間，公司獨立董事貝洪俊之配偶許國君在二級市場買賣了公司股票，主要情況如下：
貝洪俊當選為公司獨立董事之前，即自2021年6月3日至2021年7月1日期間：許國君共發生買入交易2次，買入價格區間為2.24-2.60元/股，累計買入貴人鳥股票2萬股，累計買入金額人民幣4.84萬元；同一期間內，許國君共發生賣出交易4次，賣出價格區間為2.34-2.8元/股，累計賣出貴人鳥股票5萬股，累計賣出金額人民幣12.98萬元。
貝洪俊當選為公司獨立董事及之後，即自2021年7月2日至2021年12月10日期間：許國君共發生賣出交易11次，賣出價格區間為2.38-3.28元/股,累計賣出貴人鳥股票23.12萬股，累計賣出金額人民幣62.3452萬元，平均賣出價格2.7元/股；同一期間內，許國君共發生買入交易24次，買入價格區間為2.68-3.34元/股，累計買入貴人鳥股票22.62萬股，累計買入金額人民幣67.6606萬元，平均買入價格2.99元/股。許國君上述股票交易賣出價格低於其買入價格，交易產生虧損。截至目前，許國君尚持有公司股票10.5萬股。
貝洪俊之配偶許國君於2021年7月2日至2021年12月10日期間買賣公司股票的行為違反了《證券法》的相關規定，構成短線交易。
經與貝洪俊確認，上述交易系因許國君先生不瞭解相關法律、法規的規定所致，貝洪俊本人對許國君本次短線交易並不知情，交易前後亦未吿知其關於公司經營情況或其他內幕信息，許國君買賣公司股票的行為系其對二級市場交易情況的獨立判斷而作出的決定，不存在利用內幕信息進行交易謀求利益的情形。貝洪俊對於未能及時盡到督促義務深表自責，並就此對公司和市場帶來的不良影響向廣大投資者致以誠摯的歉意。貝洪俊承諾將進一步認真學習相關法律法規，規範本人及直系親屬買賣公司股票的行為，杜絕此類情況再次發生。
許國君對於本次交易給公司和市場帶來的不良影響向廣大投資者致以誠摯的歉意，並自願承諾：自最後一筆買入公司股票之日起的12個月內不出售其持有的本公司股票，未來如出售該部分股票，所產生的收益將上交至公司。
