中核科技(000777.SZ)：擬購買河南核淨90.835%股權 拓展淨化過濾業務等非閥門業務、明起復牌
格隆匯12月13日丨中核科技(000777.SZ)公佈發行股份及支付現金購買資產並募集配套資金暨關聯交易預案，上市公司擬通過發行股份及支付現金方式，購買交易對方合計持有的河南核淨90.83545%股權，並向中核浦原及中核基金非公開發行股份募集配套資金。
其中，擬向工程公司、中核五院發行股份購買其所持有的標的公司51.00000%股權；擬向鄒滌、李西峯、韓秀珅、馮朝陽、古現華、劉歌、曾心耀、李傑、孫廣宇發行股份及支付現金購買其所持有的標的公司9.16455%股權，其中發行股份購買80%，支付現金購買20%；擬向孫超、眭奕、王強、張秀蓉、郝剛、沈剛、林潔發行股份及支付現購買其所持有的標的公司9.16844%股權，其中發行股份購買80%，支付現金購買20%；擬向姚衞星、楊晶、史則軒、歐亞羣、林德樞、夏雪、陳江斌、劉暄、趙德柔、孔慶岐、李斌、沈小兵、李勍全部支付現金購買其所持有的標的公司21.50245%股權。
此外，上市公司擬向中核浦原和中核基金非公開發行股份募集配套資金。定價基準日為上市公司第七屆董事會第二十三次會議決議公吿日，發行價格為11.42元/股；募集資金不超過3.82億元，其中向中核浦原募集資金不超過32,200萬元，向中核基金募集資金不超過6000萬元。
中核科技主營業務為工業閥門研發、設計、製造及銷售，本次重組有利於公司業務的縱向與橫向發展：一方面，結合閥門、驅動機構等設備生產，打造過程裝備集成供貨能力；另一方面，主營業務向淨化過濾業務等非閥門業務拓展，重視產品應用領域，打造流程裝備多領域服務能力。重組完成後，公司將整合核淨公司的競爭優勢，培育新的業務增長點，做大過濾淨化行業，強化上市公司核特色裝備平台功能。
此外，經向深圳證券交易所申請，公司股票(股票簡稱：中核科技，股票代碼：000777)自2021年12月14日開市起復牌。
