漢得信息(300170.SZ)：擬轉讓所持132.31萬元甄雲信息註冊資本 並放棄相關優先權利
格隆匯11月30日丨漢得信息(300170.SZ)公佈，公司2021年11月30日召開的第四屆董事會第三十次(臨時)會議審議通過了《關於出售上海甄雲信息科技有限公司股權暨放棄優先權利的議案》。寧波得厚領峯企業管理諮詢合夥企業(有限合夥)(“得厚領峯”)向寧波雲勰管理諮詢合夥企業(有限合夥)(“雲勰”或“員工持股平台”)轉讓其持有的上海甄雲信息科技有限公司(“甄雲信息”或“標的公司”)註冊資本人民幣625萬元，同時甄雲信息擬向雲勰增發人民幣631.9768萬元的新增註冊資本。
漢得信息擬將持有的甄雲信息註冊資本人民幣共計132.3133萬元轉讓給成都天府藍三木月創業投資中心(有限合夥)(“藍湖資本”)、廈門建發新興產業股權投資貳號合夥企業(有限合夥)(“廈門建發”)。
深圳龍珠股權投資基金合夥企業(有限合夥)、Long-ZFundI,LP、南通眾麟萬璟創業投資合夥企業(有限合夥)、蘇州市德同合心創業投資合夥企業(有限合夥)、Blue LakeInvestment (HK) Limited、Blue Lake Capital III Investment (HK) Limited、成都天府藍三木月創業投資中心(有限合夥)、Blue Lake Capital OpportunityFund I (HongKong) Limited、太倉市鐘鼎六號股權投資合夥企業(有限合夥)、太倉市鐘鼎六號青藍股權投資合夥企業(有限合夥)、ACE Redpoint OpportunityChina, L.P.、ACE Redpoint Opportunity Associates China, L.P.、NeithVentures Limited、ABI Asia Holdings I Limited 擬共同出資1億美元或其等值人民幣對甄雲信息進行增資擴股。公司放棄對甄雲信息本次股權轉讓及增資擴股的優先購買權和優先認購權。
本次交易前，公司持有甄雲信息27.9069%股權；本次漢得信息出售股權暨甄雲信息增資擴股交割完成後，公司持有的甄雲信息股權預計將下降至19.7564%(最後以實際工商登記所載為準)。
