保利置業集團(00119.HK):與華潤置地簽訂合營協議 合作開發香港九龍啟德地塊
格隆匯11月26日丨保利置業集團(00119.HK)公佈,公司與華潤置地於2019年6月通過公開招標從香港特別行政區政府取得一塊位於九龍啟德約9,481平方米土地。該土地將建議通過合營公司開發,合營公司由公司持有35%,華潤置地持有65%。合營公司股東計劃將該土地開發為主要包括住宅物業的綜合開發項目。
於2021年11月26日,訂約方簽訂合營協議,以釐定訂約方對合營公司有關的權利及義務,並規範日後合營公司的營運及管理。
根據合營協議,按照合營公司股東不時參照當時房地產市場狀況制定的決定和土地授予的條件,訂約各方同意合營公司的業務範圍是按照合營協議的條款和條件收購、持有和開發該土地,其主要目的是出售或出租該土地上已開發和建造的任何部分之單位、建築物。
根據合營協議,公司和華潤置地同意,在發生若干違約事件時,非違約股東應有權利(但沒有義務)向違約股東發出通知,據此,違約股東被視為已向非違約股東提出要約將其持有合營公司的股份(或其相關部分)(一併轉讓相應的股東貸款)以公平市價折讓後的代價轉讓給非違約股東。毋須為違約認購權支付任何費用。
此外,如果任何股東在任何時候持有合營公司80%或以上的股份("大股東"),則大股東將有權利("清倉認購權")(但沒有義務)向另一位股東("小股東")發出通知,要求小股東以公平市價折讓後的代價將其持有合營公司所有的股份(一併轉讓所有未償還的股東貸款)轉讓給大股東。毋須為清倉認購權支付任何費用。違約認購權和清倉認購權將一併稱為"認購權"。
