智傲控股(08282.HK)獲劉漪溢價約1.69%提要約收購 明日復牌
格隆匯11月25日丨智傲控股(08282.HK)發佈公吿，於2021年11月25日，要約人Topliu Limited及黃健穎先生（作為買方）與賣方訂立買賣協議，據此買方有條件同意收購合共8160萬股股份（相當於公司已發行股本總數51.00%），總代價為4896萬港元，相當於每股待售股份0.6港元。
於完成後，要約人及其一致行動人士（包括黃先生）將於合共8160萬股股份（佔公司已發行股本總數51.00%）中擁有權益。根據收購守則第26.1條，於完成後，要約人須就要約股份提出強制性要約。每股要約股份現金0.6港元，較11月24日收市價每股股份0.590港元溢價約1.69%。
要約人為於英屬處女羣島註冊成立的有限公司，併為投資控股公司。於本聯合公吿日期，要約人由劉漪先生全資擁有。劉先生為要約人的唯一董事。劉先生，37歲，於2012年7月獲劍橋大學頒授高級計算機科學碩士學位。劉先生現為深圳證券交易所上市公司安徽皖通科技股份有限公司（股票代號：002331.SZ）的非獨立董事。自2018年起，劉先生擔任杭州字符互動網絡科技有限公司（該公司主要從事資訊科技及資訊集成系統的研發業務）的執行董事兼總經理。
自2020年起，劉先生擔任椏網置業（杭州）有限公司（該公司為於中國杭州從事物業管理以及開發商務及辦公室的私營公司）的執行董事兼總經理。於2020年8月，劉先生獲認可為杭州市餘杭區高層次人才分類認定辦法下的B類高層次人才。目前，劉先生擔任中國人民政治協商會議杭州市臨平區常務委員及杭州市臨平區歸國華僑聯合會副主席。
要約人打算繼續經營集團的現有業務。要約人並無計劃向集團注入任何資產或業務，或促使集團在要約截止後立即收購或出售任何資產。要約截止後，要約人將對集團的業務經營及財務狀況進行詳細審查，以便為集團的未來業務發展制定業務計劃及戰略，並探索其他投資或業務機會，使集團的業務多樣化，以擴大其收入來源。
此外，公司已向聯交所申請股份自2021年11月26日上午九時正起於聯交所恢復買賣。
