華峯化學(002064.SZ)：遼寧華峯破產清算糾紛案調解結案
格隆匯11月18日丨華峯化學(002064.SZ)公佈，公司作為遼寧華峯化工有限公司(簡稱“遼寧華峯”)的債權人就遼寧華峯破產清算過程中的債權確認糾紛，向遼陽市中級人民法院(簡稱“遼陽中院”)提起訴訟，遼陽中院立案，經審理於2020年12月2日作出(2020)遼10民初10號民事判決書，液化空氣(遼陽)有限公司(簡稱“液空遼陽”)就上述案件向遼寧省高級人民法院提起上訴。2021年3月，遼寧省高級人民法院對上述破產債權確認糾紛第二審程序進行了開庭審理。
近日，公司收到遼寧省高級人民法院關於上述案件作出的民事調解書((2021)遼民終307號)，在二審訴訟中，經遼寧省高級人民法院主持調解，各方當事人自願達成協議，民事調解書主要內容如下：
1.華峯化學、浙江誠名智能工程有限公司、遼寧華峯認可液空遼陽對遼寧華峯所享有破產債權為4.5億元。
2.一審案件受理費2666036元(華峯化學已預交)、二審受理費2666035元(液空遼陽已預交)，減半收取1333017.5元，合計3999053.5元，由液空遼陽負擔1999526.75元，華峯化學、浙江誠名智能工程有限公司、遼寧華峯共同承擔負擔1999526.75元。
3.液空遼陽應支付給華峯化學、浙江誠名智能工程有限公司、遼寧華峯的訴訟費差額666509元，自民事調解書生效後三個月內支付。
4.本調解書經各方當事人簽收後，即具法律效力。
截止該公吿披露日，上述調解書已生效。上述案件的結案，有利於推進遼寧華峯的破產程序。公司作為遼寧華峯股東以其出資額為限承擔責任。遼寧華峯因資不抵債於2019年11月進入破產清算程序，公司已對遼寧華峯投資及往來款項足額計提減值準備，並不再將其納入合併報表範圍。
經確認的破產債權將根據遼寧華峯清算後的資產情況依法進行清償。該次民事調解預計不會對公司本期利潤或期後利潤產生重大影響。
