盾安環境(002011.SZ)：公司控股股東將變更為格力電器 明起復牌
格隆匯11月16日丨盾安環境(002011.SZ)公佈，格力電器擬受讓浙江盾安精工集團有限公司(“盾安精工”)所持公司2.7036億股股份(佔截至公吿披露日公司總股本的29.48%)，轉讓價款約21.90億元；同時，格力電器擬以現金方式認購盾安環境向特定對象非公開發行的 139,414,802股股票，認購價款約8.1億元。
上述股份轉讓完成交割後，格力電器將持有盾安環境2.7036億股股份(佔截至公吿披露日公司總股本的 29.48%)，根據《股份轉讓協議》的相關約定，格力電器將有權改組董事會，並提名半數以上的董事。盾安環境的控股股東及實際控制人將發生變化，盾安環境的控股股東將變更為格力電器，由於格力電器無實際控制人，故盾安環境的實際控制人將由姚新義變更為無實際控制人狀態。
此次非公開發行股份完成後，格力電器將持有盾安環境409,774,802 股股份，佔發行後公司總股本的 38.78%，公司控股股東仍為格力電器，公司仍為無實際控制人狀態。
對於格力電器而言，此次交易是格力電器構建多元化、科技型的全球工業集團，保障核心零部件自主可控，完善產業鏈佈局，進一步鞏固業務競爭優勢的重要舉措。盾安環境的空調製冷元器件業務具備較深的技術積累和良好的生產製造能力，新能源熱管理器相關產品矩陣完善，已同國內眾多知名企業開展業務合作。格力電器看好盾安環境作為全球製冷元器件行業龍頭企業的產業價值，擬通過此次交易進一步提高空調上游核心零部件的競爭力和供應鏈的穩定性，發揮盾安環境與格力電器的業務協同，完善新能源汽車核心零部件的產業佈局。
此次股份轉讓已經格力電器董事會審議通過，並經盾安控股金融機構債委會執委會認可。此次非公開發行已經盾安環境董事會、監事會審議通過，獨立董事發表了事前認可意見和獨立意見，認購方格力電器董事會審議通過。
經公司向深圳證券交易所申請，公司股票於2021年11月10日上午開市起停牌，自2021年11月17日上午開市起復牌。
