大昌微線集團(00567.HK)：聯交所批評公司並譴責公司前執行董事兼主席張麗娜
格隆匯11月11日丨大昌微線集團(00567.HK)公佈，聯交所批評公司並譴責該公司的前執行董事兼主席張麗娜女士；並指令該公司聘請顧問對其內部監控措施進行檢視，以確保遵守《上市規則》第2.13條以及管理並避免潛在及實際利益衝突；及張女士完成17小時由經上市科許可的培訓機構提供有關監管及法律議題以及《上市規則》合規事宜的培訓（該培訓）。該公司及該董事同意就此紀律行動作出和解，並接受上市委員會所施加的制裁及指令。
據悉，2017年9月29日，該公司與一名賣方（張女士的聯繫人）簽訂買賣協議，按此，該公司同意向賣方購買四艘船舶。收購事項將在符合該協議所載條件後分三階段完成。在相關時間，張女士主要負責監督收購事項的進度，擔當高層監督角色，實際執行工作則交由員工處理。2018年9月28日，因收購事項成交日臨近，張女士指示該公司向賣方發出支票及承兑票據。在授權發出該支票及該承兑票據前，該公司僅從賣方收到成交交付文件的擬稿，而張女士亦知悉有關船舶的按揭尚未解除。
該公司分別於2018年11月28日和12月12日刊發截至2018年9月30日止期間的中期業績及中期報吿。上述業績及報吿中均表示船舶的收購事項已正式完成。2018年中期業績也是在收購事項已完成的基礎上編備。及後於2019年1月，該公司發現其中三艘船舶的按揭尚未解除及賣方並未將該支票存入銀行。
該公司在2019年4月2日刊發的公吿（澄清公吿）中承認，截至2018年9月30日為止，三艘船舶的收購事項尚未完成。在澄清公吿中，該公司對2018年中期業績作出調整及重計，以反映截至2018年9月30日時收購事項尚未全部完成，而該公司於2018年9月30日為止的資產總值則由約6.39億元調整為約5.46億元。
在刊發2018年中期業績及報吿前，該公司並無進行銀行對賬，故沒有發現賣方並未將該支票存入銀行以及截至2018年9月30日為止收購事項其實尚未完成。
根據第3.08、3.16及13.04條，上市發行人的董事須共同及個別地負責公司的管理與經營，並須就公司遵守《上市規則》共同及個別地承擔責任。第3.08條指出聯交所要求董事以應有的技能、謹慎和勤勉行事，程度相當於別人合理地預期一名具備相同知識及經驗，並擔任發行人董事職務的人士所應有的程度的責任（第3.08(f)條）。
