電科數字(600850.SH)：擬收購柏飛電子100%股權 深挖掘數字化轉型
格隆匯11月10日丨電科數字(600850.SH)公佈發行股份購買資產暨關聯交易報吿書(草案)，上市公司擬以發行股份的方式向包括電科數字集團、三十二所、中電國睿、國元基金在內的12名柏飛電子股東購買其合計持有的柏飛電子100.00%股權。經交易各方友好協商，交易各方確定標的公司100.00%股權的交易金額為23.36億元。
本次交易標的資產交易作價合計23.36億元，按照23.71元/股的發行價格通過發行股份方式支付，本次向交易對方購買資產發行股份數量合計為9854.44萬股。

通過收購柏飛電子，可以有力支撐電科數字形成具有提供“雲-邊-端”一體化數字化整體解決方案的能力，形成“以解決方案為牽引，帶動自有產品發展”的格局，增強上市公司提供行業解決方案的關鍵技術能力，不斷拓寬數字化轉型的廣度，挖掘數字化轉型的深度，帶動自有關鍵軟硬件一體化發展。
柏飛電子從事嵌入式系統關鍵軟硬件業務，主要產品包括嵌入式計算機、高性能信號處理、高速網絡交換、數據記錄存儲及信息處理模塊等。柏飛電子產品具有高度軟硬一體的產品特性和強實時、高可靠、高安全等產品屬性，可以提升金融科技、工業互聯網領域的強實時計算能力，並在系統關鍵節點上利用國產化技術有效保障信息基礎設施安全，增強電科數字提供行業數字化解決方案中的關鍵技術能力。
