格隆匯11月9日丨中州證券(01375.HK)公佈，由於選舉菅明軍為第七屆董事會執行董事，選舉李興佳、張秋雲、王立新、田聖春、張笑齊及陸正心為第七屆董事會非執行董事，選舉於緒剛、張東明、陳志勇及曾崧為第七屆董事會獨立非執行董事的議案已於臨時股東大會獲通過，上述各董事的委任於臨時股東大會當日(即2021年11月9日)生效，其服務任期自2021年11月9日起，為期三年。
董事會於2021年11月9日舉行的會議上決議重選菅明軍為公司董事長，任期自董事會審議通過之日起(即2021年11月9日)至第七屆董事會任期屆滿之日止。
由於選舉魯智禮、魏志浩、張憲勝及張博為第七屆監事會監事，選舉項思英及夏曉寧為第七屆監事會獨立監事的議案已於臨時股東大會獲通過，上述各非職工代表監事的委任於臨時股東大會當日（即2021年11月9日)生效；此外，公司已於2021年10月14日召開職工代表大會，選舉並委任巴冠華、許昌玉及肖怡忱為公司第七屆監事會之職工代表監事；上述各非職工代表監事及各職工代表監事的服務任期自2021年11月9日起，為期三年。
自2021年11月9日起，第六屆監事會監事張秋雲及謝俊，以及職工代表監事張露及張華敏不再擔任監事。
監事會於2021年11月9日舉行的會議上決議重選魯智禮為公司監事會主席，任期自監事會審議通過之日(即2021年11月9日)起至第七屆監事會任期屆滿之日止。
此外，董事會於2021年11月9日舉行的會議上亦決議續聘朱建民為公司常務副總裁，代為行使總裁職責；續聘朱軍紅、徐海軍、花金鍾為公司副總裁；續聘李昭欣為公司總會計師、財務負責人；續聘朱啟本為公司董事會祕書；續聘劉灝為公司首席投資官；續聘李峯為公司首席風險官；聘任史紅星為公司合規總監；以及續聘韓軍陽為公司首席信息官，任期均自董事會審議通過之日(即2021年11月9日)起至第七屆董事會任期屆滿之日止。
