微盟集團(02013.HK)擬2.22億元拿下泛零售運營數字化服務商向心雲的控股權
格隆匯11月9日丨微盟集團(02013.HK)宣佈，於2021年11月9日，公司間接全資附屬公司微盟發展與(其中包括)各賣方及上海向心雲網絡科技有限公司("向心雲")訂立股權轉讓協議，據此，賣方有條件地同意出售，且微盟發展有條件地同意購買向心雲45.9693%股權，現金代價為人民幣14,195.02萬元。
於同日，微盟發展與向心雲、騰訊產業投資基金以及創始人及持股平台訂立增資協議，內容有關(其中包括)微盟發展同意透過現金注資人民幣8000萬元作出資金供款，以購買向心雲人民幣3,196,130元的新增註冊資本，為增資完成後向心雲經擴大總股權的10.9589%。
此次交易的總代價人民幣22,195.02萬元將由公司內部資源提供資金。於交易完成後，向心雲將成為公司的附屬公司。公司將透過微盟發展持有向心雲51.8904%股權，創始人及持股平台將持有向心雲30.7041%股權，且騰訊產業投資基金將持有向心雲17.4055%股權。向心雲的財務業績將會併入集團財務報表。
據悉，向心雲是國內領先的泛零售運營數字化服務商，推出的SaaS軟件"超級導購"APP，致力於幫助零售企業實現導購店員的數字化。於交易完成後，集團將獲得導購數字化能力的快速深化，夯實智慧零售領域的競爭優勢，通過標準化產品快速提升導購店員的商品認知和服務能力，系統性的幫助商家將消費者反饋轉化為重要決策依據，同時降低導購店員高頻流動造成的經營波動，提升商家在零售終端的潛力。
公吿稱，於交易完成後，集團將獲得導購數字化能力的快速深化，夯實智慧零售領域的競爭優勢，通過標準化產品快速提升導購店員的商品認知和服務能力，系統性的幫助商家將消費者反饋轉化為重要決策依據，同時降低導購店員高頻流動造成的經營波動，提升商家在零售終端的潛力。
集團將進一步夯實在智慧零售領域的數字化版圖，以更具有競爭優勢的"流量+工具+運營"的全鏈路解決方案幫助零售企業更加高效地經營全渠道業務，逐步建立起屬於零售企業自身的TSO數字化商業版圖。從實現路徑上，將採用生態企業夥伴入駐微盟雲以及投資併購的方式實現外延擴展，持續尋找、整合零售企業數字化的優秀服務商，共同為客户創造長期價值。
