格隆匯11月5日丨弘陽服務(01971.HK)公吿,於2021年11月5日,南京弘陽物業管理(公司的間接全資附屬公司)及安徽宇華訂立第一份股權轉讓協議,據此,南京弘陽物業管理同意收購而安徽宇華同意出售滁州宇潤的49%股權,代價3430萬元人民幣。

此外,南京弘生活投資管理(公司的間接全資附屬公司)、出售事項買方及南京亞東訂立第二份股權轉讓協議,據此,南京弘生活投資管理同意出售而出售事項買方同意收購南京亞東的合共51%股權,代價2300萬元人民幣。

滁州宇潤為一家根據中國法律成立的有限公司。滁州宇潤集團主要從事於中國江蘇省、安徽省及湖南省提供物業管理服務。於本公吿日期,滁州宇潤集團的在管物業的總建築面積約為504萬平方米。於本公吿日期,滁州宇潤由南京弘陽物業管理及安徽宇華分別持有51%及49%權益。

於收購事項完成後,滁州宇潤將成為公司的間接全資附屬公司,將有助公司加強對滁州宇潤在管項目的管理控制並享有滁州宇潤為集團帶來的所有經濟利益,以及有助集團未來進一步降低管理成本並提高管理效率。

南京亞東為一家根據中國法律成立的有限公司,其於南京從事本地物業管理。於本公吿日期,南京亞東集團的在管物業的總建築面積約為163萬平方米。

由於南京亞東目前的在管項目主要為逾10年前交付的住宅項目,其平均物業管理費用及毛利率相對較低,亦不符合公司未來戰略計劃中的物業標準。因此,公司決定出售其於南京亞東的51%股權。於出售事項完成後,公司的現金流入將會增加,有利於公司進一步發展優質物業項目以及集中資源加強公司的競爭力以擴展其市場。
