東江環保(00895.HK)：深圳廣晟及廣晟金控將所持公司股份無償劃轉予廣晟集團
格隆匯11月3日丨東江環保(00895.HK)公佈，於2021年11月3日，公司收到第一大股東廣東省廣晟控股集團有限公司("廣晟集團")的通知，廣晟集團分別與深圳市廣晟投資發展有限公司("深圳廣晟")訂立《股份無償劃轉協議》及與廣東省廣晟金融控股有限公司("廣晟金控")訂立非公開協議轉讓的《股權轉讓協議》，據此深圳廣晟及廣晟金控分別須將130.20萬股公司A股("深圳廣晟轉讓")以及3359.78萬股A股("廣晟金控轉讓")轉讓至廣晟集團。
深圳廣晟轉讓將以無償劃轉的方式實施，而廣晟金控轉讓的代價為於不低於提示性公吿日前30個交易日的每日加權平均價格的算術平均值與最近一個會計年度公司經審計的每股淨資產值的孰高者,相關代價以廣晟金控對廣晟集團的債務抵消。
於緊接該轉讓前，深圳廣晟(為一家廣晟金控的直接全資附屬公司)及廣晟金控(為一家廣晟集團的直接全資附屬公司)分別持有130.20萬股A股(代表公司約0.15%的股權)及3359.78萬股A股(代表公司約3.82%的股權)。廣晟集團(i)直接持有1.66億股A股；及(ii)間接持有3489.98萬股A股以及2517.92萬股H股；合共2.26億股公司股份，代表公司股權約25.72%。
緊隨該轉讓後，深圳廣晟及廣晟金控將不再持有任何公司的股份，廣晟集團將(i)直接持有2.01億股A股；以及(ii)間接持有公司2517.92萬股H股；合共2.26億股本公司股份，代表公司股權約25.72%。由於該轉讓乃同一控制下的集團內部轉讓，該轉讓完成後，公司的第一大股東及實際控制人將不會發生變化。公司第一大股東仍為廣晟集團，並且實際控制人仍然是廣東省人民政府國有資產監督管理委員會。
公吿稱，該轉讓系廣晟集團為全面深化國有企業改革，推動專業化整合工作，在同一實際控制人控制的不同主體之間進行的股份轉讓。
