債務展期方案出爐的背後,陽光城(000671.SZ)的超強求生欲
11月1日,陽光城集團股份有限公司發佈公吿,表示將對旗下3只美元債提出交換要約,並且將徵求合格持有人同意,修訂上述票據的相關管理契約,以及徵求合格持有人同意修訂以下債務證券的相關管理契約。此外,陽光城還提出將對5只債券的契約修訂進行同意徵求。
公吿表明,陽光城將於公吿發布之日提出進行要約交換,以換取合格持有人所持票據未償本金的最低接受額。並且徵得合格持有人的同意,以根據交換要約及同意書徵求備忘錄中規定的條款和條件,對相關票據的契約進行修訂。
陽光城方面表示,此次實施債務展期是因為房地產行業整體形勢較為嚴峻,公司出現了短期的流動性困難,但是公司的基本面和生產經營並沒有發生實質性的變化。公司將會做好整體化解方案,採取出售資產、項目股權等一切必要措施保障流動性,依法維護各債權人合法權益,保全投資人本金和利息。
值得注意的是,陽光城在此次債務展期方案中加入了實控人全額擔保措施。這不僅體現出了陽光城在債務展期要約方面的誠意,同時也能表達出實控人的責任與擔當。並且多位債券業內人士表示,在部分企業“躺平”的市場大環境下,陽光城這種做法展現了與債權人溝通的誠意,也充分落實了不逃廢債的決心。努力履行債務主體責任,不讓債權人利益受損。
目前,房地產市場整體環境不佳。據中指研究院統計,10月份百城新房的價格環比漲幅持續收窄,二手房的價格年內首跌,“金九銀十”旺季不再。並且房企陸續出現信用違約的情況也不容樂觀,行業依舊處於寒冬。克而瑞證券首席分析師孫楊表示,“當前房企不要暴雷,能挺住就是最好的做法了”。
在10月26日,發改委和國家外匯管理局聯合召集8家房企進行了座談會。會上監管層表示,鼓勵房企利用自有資金回購、兑付美元債,並且願意為企業償還境外債券提供便利。同時,有房企提出了延長部分美元債償還時限等建議和要求,監管層也表示會給予通道便利。
從近期情況來看,還是有多數房企選擇拒絕“躺平”的,近幾個月就部分房企進行了債券回購。在降低負債的同時,也能對提振市場信心起到一定作用。而陽光城此次尋求債務展期,能夠起到改善流動性,避免信用違約的作用。對比其餘選擇直接躺平的企業,陽光城努力自救、尋求穩健發展的表現還是值得讚譽與鼓勵的。
此外,據陽光城內部人士透露,目前公司生產經營一切正常,全體員工沒有絲毫的猶豫和懈怠。並且公司已經成立了專項小組,保障公司主營業務有序經營,同時嚴控預算、縮減開支、加大保銷售、促回款的力度,安全度過短期流動性危機。
總結來看,陽光城推動落實債務展期方案,並實施實控人全額擔保,透露出積極保兑付的意願,充分彰顯了大股東的使命擔當和企業的社會責任感,更體現了陽光城意在謀求公司可持續的長期發展。站在中長期角度,在陽光城一系列的戰略調整下,相關事件的影響或會被逐步抵消。
