债务展期方案出炉的背后,阳光城(000671.SZ)的超强求生欲

111日,阳光城集团股份有限公司发布公吿,表示将对旗下3只美元债提出交换要约,并且将征求合格持有人同意,修订上述票据的相关管理契约,以及征求合格持有人同意修订以下债务证券的相关管理契约。此外,阳光城还提出将对5只债券的契约修订进行同意征求。

公吿表明,阳光城将于公吿发布之日提出进行要约交换,以换取合格持有人所持票据未偿本金的最低接受额。并且征得合格持有人的同意,以根据交换要约及同意书征求备忘录中规定的条款和条件,对相关票据的契约进行修订。

阳光城方面表示,此次实施债务展期是因为房地产行业整体形势较为严峻,公司出现了短期的流动性困难,但是公司的基本面和生产经营并没有发生实质性的变化。公司将会做好整体化解方案,采取出售资产、项目股权等一切必要措施保障流动性,依法维护各债权人合法权益,保全投资人本金和利息。

值得注意的是,阳光城在此次债务展期方案中加入了实控人全额担保措施。这不仅体现出了阳光城在债务展期要约方面的诚意,同时也能表达出实控人的责任与担当。并且多位债券业内人士表示,在部分企业“躺平”的市场大环境下,阳光城这种做法展现了与债权人沟通的诚意,也充分落实了不逃废债的决心。努力履行债务主体责任,不让债权人利益受损。

目前,房地产市场整体环境不佳。据中指研究院统计,10月份百城新房的价格环比涨幅持续收窄,二手房的价格年内首跌,“金九银十”旺季不再。并且房企陆续出现信用违约的情况也不容乐观,行业依旧处于寒冬。克而瑞证券首席分析师孙杨表示,“当前房企不要暴雷,能挺住就是最好的做法了”。

在10月26日,发改委和国家外汇管理局联合召集8家房企进行了座谈会。会上监管层表示,鼓励房企利用自有资金回购、兑付美元债,并且愿意为企业偿还境外债券提供便利。同时,有房企提出了延长部分美元债偿还时限等建议和要求,监管层也表示会给予通道便利。

从近期情况来看,还是有多数房企选择拒绝“躺平”的,近几个月就部分房企进行了债券回购。在降低负债的同时,也能对提振市场信心起到一定作用。而阳光城此次寻求债务展期,能够起到改善流动性,避免信用违约的作用。对比其余选择直接躺平的企业,阳光城努力自救、寻求稳健发展的表现还是值得赞誉与鼓励的。

此外,据阳光城内部人士透露,目前公司生产经营一切正常,全体员工没有丝毫的犹豫和懈怠。并且公司已经成立了专项小组,保障公司主营业务有序经营,同时严控预算、缩减开支、加大保销售、促回款的力度,安全度过短期流动性危机。

总结来看,阳光城推动落实债务展期方案,并实施实控人全额担保,透露出积极保兑付的意愿,充分彰显了大股东的使命担当和企业的社会责任感,更体现了阳光城意在谋求公司可持续的长期发展。站在中长期角度,在阳光城一系列的战略调整下,相关事件的影响或会被逐步抵消。
