莊園牧場(01533.HK)考慮將富餘的自產生鮮乳出售給其他乳製品企業來嘗試多元化發展
格隆匯10月29日丨莊園牧場(01533.HK)發佈公吿，公司自2021年初以來，隨着奶源整體得到持續發展和鞏固，公司自有牧場生鮮乳產能與品質得到不斷提高，公司既可以滿足自有品牌產品增長所帶來的原奶需求，也有意嘗試多元化發展，與其他乳製品生產企業建立供應高品質原料奶的合作關係。
甘肅省農墾集團有限責任公司通過甘肅省農墾資產經營有限公司和蘭州莊園投資有限公司合計持有莊園牧場68,826,365股股份，佔公司總股本比例為29.61%，並於2021年6月底向公司駐派相關董事、監事及高級管理人員，甘肅農墾集團和甘肅省政府國資委分別成為公司的控股股東和實際控制人。
公司自成立以來，下屬養殖牧場自產生鮮乳主要用於自有乳製品的生產，自有原料奶的供給率逐年提升，產品品質得到充分保障。但在滿足自有乳製品生產的前提下，公司考慮將階段性富餘的自產生鮮乳出售給其他乳製品生產企業來嘗試多元化發展，且2021年實現了部分原料奶銷售。甘肅農墾集團控股子公司甘肅農墾天牧乳業有限公司主要從事奶牛養殖和生鮮乳銷售業務，與莊園牧場全資子公司養殖牧場主營業務相同。因此，甘肅農墾集團於2021年6月29日獲得對莊園牧場的控制權時，因莊園牧場存在階段性對外銷售生鮮乳業務即與其構成了同業競爭關係。
截至目前，莊園牧場自有原料奶尚未實現全部自給，為進一步增強市場競爭能力，更加專注於乳製品生產與銷售，同時避免與控股股東出現同業競爭關係，進一步規範公司運營，公司於2021年10月29日召開第四屆董事會第六次會議、第四屆監事會第五次會議，審議通過《關於調整對外銷售產品結構的議案》，董事會決定履行完畢向其他乳製品生產企業供應生鮮乳的合作後，不再對外銷售自產生鮮乳，子公司牧場所產生鮮乳用於公司乳製品生產。
未來隨着公司的經營發展，如莊園牧場實現生產所需原料奶全部自給且尚有盈餘需要對外實現銷售的情況下，則公司將與控股股東甘肅農墾集團積極協商可行的規避同業競爭措施，保障公司中小股東的利益。
