眾安在線(06060.HK)擬向眾安國際增資5400萬美元
格隆匯10月28日丨眾安在線(06060.HK)發佈公吿，2021年10月27日，公司非全資附屬公司眾安國際與公司全資附屬公司眾安科技、百仕達、Warrior(周大福代理人有限公司的全資附屬公司，而周大福代理人有限公司由鄭裕彤家族持有)及Opportunities Fund(友邦保險跨集團投資項目的一部分)訂立購股協議。根據購股協議的條款及條件：眾安科技有條件同意認購8173.55萬股新眾安國際普通股，認購價約為5400萬美元；百仕達有條件同意認購7421.23萬股新眾安國際普通股，認購價約為4900萬美元；Warrior有條件同意認購1514.54萬股新眾安國際普通股，認購價約為1000萬美元；及Opportunities Fund有條件同意認購7572.68萬股新眾安國際普通股，認購價約為5000萬美元。
眾安國際為一家於中國香港註冊成立的有限公司，併為公司透過其全資附屬公司眾安科技間接擁有的非全資附屬公司。成立眾安國際旨在發掘金融科技及保險科技範疇的國際業務發展、合作及投資機遇，包括於中國香港的虛擬銀行及全數字化保險以及於海外市場的技術輸出。於該公吿日期，眾安科技、百仕達及Warrior分別持有眾安國際約46.44%、44.62%及8.94%的投票權益。首次認購事項及第二次眾安認購事項完成後，眾安科技、百仕達、Warrior及Opportunities Fund應分別持有眾安國際約47.32%、 41.50%、8.33%及2.85%的投票權益。
公吿表示，眾安認購事項及百仕達認購事項下的增資，將為眾安國際提供額外營運資金及增強財務靈活性，以進一步擴大其於中國香港的虛擬銀行及在線人壽保險服務範圍以及其於海外市場技術輸出業務的拓展。眾安認購事項及百仕達認購事項將有助眾安科技及百仕達進一步提升投資回報，促進眾安國際增長及發展。
