UJUHOLDING(01948.HK)將於11月8日掛牌上市 引入字節跳動及小米作為基石
格隆匯10月26日丨UJUHOLDING(01948.HK)發佈公吿，公司擬全球發售1.2億股股份，其中香港發售股份1200萬股，國際發售股份1.08億股，另有15%超額配股權；2021年10月26日-10月29日招股，預期定價日為10月29日；發售價每股發售股份6.70港元-9.16港元，每手買賣單位1000股，入場費約9252港元；民銀資本為獨家保薦人；預期股份將於2021年11月8日於聯交所主板掛牌上市。
集團自2018年起營運，儘管經營歷史較短，但集團是中國新興及快速增長的線上短視頻營銷解決方案行業中快速增長的市場參與者之一。集團主要通過集團的媒體合作伙伴提供一站式跨媒體線上營銷解決方案，尤其為線上短視頻營銷解決方案，為廣吿主客户營銷彼等的產品及服務，並以此產生收益。在一站式服務下，集團通過策劃、製作、投放及優化線上廣吿(尤其為線上短視頻廣吿)提供定製營銷解決方案，以幫助廣吿主客户在各大領先的媒體平台上獲取、轉化及留住最終消費者，並以此產生收益。集團亦提供廣吿分發服務，當中集團獲取廣吿主客户的用户流量，以於廣吿主客户指定的線上媒體平台分發廣吿。集團與眾多優質媒體合作伙伴建立公認的長期合作伙伴關係，其中包括中國領先的線上短視頻平台、社交媒體平台及搜索引擎平台，併為彼等提供以更有效及高效的方式變現其廣吿庫存及用户流量的機會。
集團已與基石投資者訂立基石投資協議，據此，基石投資者已同意在若干條件的規限下按發售價認購總金額1500萬美元(或約1.166億港元)可購買的有關數目的發售股份。假設發售價為7.93港元(即發售價範圍的中位數)，基石投資者將予認購的發售股份總數為1470.7萬股。基石投資者包括字節跳動(香港)有限公司(字節跳動全資擁有的投資控股公司)及GREEN BETTER LIMITED(由小米集團(1810.HK)全資擁有)。
假設發售價為每股發售股份7.93港元(即發售價範圍的中位數)，集團估計將收取全球發售所得款項淨額約8.836億港元。其中，所得款項淨額約4.9%將用於升級集團的優量引擎平台，並專注於研究、開發及使用AI功能及SaaS技術；約3.3%將用於探索與集團在線上短視頻平台上從事電商業務的廣吿主客户的業務機會；約6.6%將用於提升集團的內容製作能力，方式為透過投入資源於研究、開發及升級AI、以動態算法為導向及基於數據的技術；約59.3%將用於透過提升與現有媒體合作伙伴的關係以及擴大集團的廣吿主客户及媒體合作伙伴羣擴展業務；約16.0%將用於尋求對與集團產生協同效益，並可增強集團在當地營銷的實力的商機進行戰略投資和收購；及所得款項淨額約9.9%將用作營運資金及一般企業用途。
