愛克股份(300889.SZ)：前任監事的配偶違規減持公司股票及致歉
格隆匯10月21日丨愛克股份(300889.SZ)公佈，公司於近日收到前任監事會主席陳劍波因其配偶違規減持公司股票的説明及致歉函，獲悉陳劍波配偶存在在窗口期以及在未預先披露減持計劃的情況下違規減持公司股票的情況。發生違規減持行為後，陳劍波及其配偶意識到事態的重要性，積極配合公司調查工作，未存在故意隱瞞的情形，陳劍波配偶本次減持股份未構成短線交易，不存在其他應披露未披露事項，也不存在因獲悉內幕信息而交易公司股票的情形。
陳劍波的配偶誤操作其證券賬户，於2021年10月15日通過競價交易方式賣出公司股票2.2萬股，成交均價19.48元/股，成交金額42.856萬元，佔公司總股本的0.0141%。截至公吿日，陳劍波共持有公司13.7萬股。
因公司預約在2021年10月27日披露2021年第三季度報吿，定期報吿公吿日前30日內為窗口期，上述股票賣出行為違反了《深圳證券交易所創業板上市公司規範運作指引》關於“上市公司董事、監事、高級管理人員、證券事務代表及前述人員的配偶不得在定期報吿公吿前 30 日內買賣本公司股票”的規定。且本次減持行為未在首次賣出的十五個交易日前向深圳證券交易所報吿並預先披露減持計劃，違反了《上市公司股東、董監高減持股份的若干規定》中第八條“上市公司大股東、董監高計劃通過證券交易所集中競價交易減持股份，應當在首次賣出的15個交易日前向證券交易所報吿並預先披露減持計劃，由證券交易所予以備案”。
公司於2021年10月15日召開2021年第一次臨時股東大會，完成了董事會、監事會的換屆工作。因此，陳劍波不再擔任公司監事職務，其繼續在公司擔任產品技術總監職務，其不參與公司三季報編制工作，未接觸公司三季報相關信息。
陳劍波並沒有股票減持計劃，在得知其配偶上述操作後，陳劍波積極配合公司董事會進行處理，並出具了本次違規減持股票的説明及致歉函。
經核查，上述股票交易雖然在公司披露定期報吿的窗口期內發生，但並非其主觀故意違規減持，也不存在因獲悉內幕信息而交易公司股票的情況。
發生上述違規減持股份行為後，陳劍波對其配偶本次交易進行了深刻反省，已深刻認識到了本次違規事項的嚴重性，就本次違規減持股票行為向公司及廣大投資者致以誠摯的歉意。
