至純科技(603690.SH)：至微科技擬增資擴股引入戰略投資者並進行部分股權轉讓
格隆匯10月18日丨至純科技(603690.SH)公佈，公司控股子公司至微半導體(上海)有限公司( “至微科技”)擬通過增資擴股引入戰略投資者並進行部分股權轉讓。此次交易各方合計增資額為4.2億元(其中上海芯晟至遠企業管理合夥企業(有限合夥)(“芯晟至遠”)增資額為2000萬元)，股權轉讓涉及金額23200萬元。此次交易完成前，公司持有至微科技的股份比例為99.34%，此次交易完成後，公司持有至微科技的股份比例為77.11%。
至微科技是承載公司重要戰略決策“從工藝裝備支持系統到工藝裝備”、投入濕法設備研發和產業化的主體。至微科技成立以來，完成了系列化產品的研發、製造和銷售，累計已獲得來自各大集成電路製造領先企業的濕法設備訂單超過160 台，成為國內濕法設備的主要供應商之一。至微科技的發展得到了用户的肯定，也得到了產業投資者的重點關注。
為進一步加快實現至微科技成為國內濕法設備領頭羊的戰略目標，提高產業資源整合能力，公司控股子公司至微科技擬通過增資擴股引入核心戰略投資者。
此次深圳市遠致星火私募股權投資基金合夥企業(有限合夥)(“遠致星火”)、國家集成電路產業投資基金二期股份有限公司(“大基金二期”)、中國國有企業混合所有制改革基金有限公司(“混改基金”)、中小企業發展基金(紹興)股權投資合夥企業(有限合夥)(“中芯聚源”)、上海半導體裝備材料產業投資基金合夥企業(有限合夥)(“裝備材料基金”)、中青芯鑫鼎橡(上海)企業管理合夥企業(有限合夥)(“芯鑫鼎橡”)、平潭溥博芯誠股權投資合夥企業(有限合夥)、上海芯晟至遠企業管理合夥企業(有限合夥)合計向至微科技增資4.2億元，其中7644萬元計入註冊資本，其餘34356萬元計入資本公積。
若此次交易順利實施，公司引入戰略投資者有助於雙方形成以股權為紐帶的戰略合作關係，公司將積極加強產業合作，進一步提升經營活力與效益，符合公司長期發展戰略，不存在損害公司及上市公司全體股東利益的情形。
芯晟至遠參與此次對至微科技的增資，有利於激勵公司管理層積極投入公司業務發展，對至微科技的經營發展產生積極的推動作用。
