巨人網絡(002558.SZ)擬收購淘米集團72.81%權益 進一步拓展文化娛樂領域業務佈局
格隆匯10月17日丨巨人網絡(002558.SZ)公佈，2021年10月15日，公司與東證睿波（上海）投資中心（有限合夥）簽署《投資意向書》，公司擬以現金方式收購東證睿波或其關聯公司直接或間接持有的淘米集團72.81%權益，經雙方初步溝通，淘米集團的企業價值估值為人民幣15億元，最終交易價格將根據盡職調查結果，由雙方進一步協商確定。
東證睿波直接及通過其全資子公司合計持有Orient TM Parent Limited 72.81%股權，Orient TM是一家依據開曼羣島法律設立並存續豁免有限責任公司，Orient TM間接持有位於中國境內的子公司上海聖然信息科技有限公司100%股權，上海聖然通過一系列協議等若干安排控制上海淘米網絡科技有限公司，Orient TM及其直接或間接控制的公司，統稱為“淘米集團”。
淘米集團的主要業務包括線上遊戲、影視動畫和品牌授權。淘米集團是中國領先的家庭娛樂內容公司，其主要業務包括線上遊戲、影視動畫和品牌授權，依靠豐富多樣的產品組合，淘米打造了三個國產超級IP：摩爾莊園、賽爾號和小花仙，實現真正的“影遊互動”。淘米集團先後開發運營數十款遊戲產品，產品同時覆蓋電腦、手機、網頁等多個客户端，主要包括自主研發並由雷霆遊戲代理運營的《摩爾莊園》手遊，以及自主研發運營的《賽爾號》頁遊、《賽爾號》系列手遊、《小花仙》頁遊、手遊等。其中，《賽爾號》頁游上線12年來運營情況仍然保持穩定，為淘米集團持續貢獻收入；同時，於2021年6月推出的自研產品《摩爾莊園》手遊也表現不俗，上線後即進入國內iOS遊戲暢銷榜前三名，截至2021年9月30日，累計註冊用户數超3,000萬，達到較好的“破圈”效果，並有效增厚淘米集團的經營業績。
影視動畫方面，淘米集團已投拍《賽爾號》、《摩爾莊園》和《小花仙》系列電影共9部，累計票房收入約人民幣5億元，成為經典國漫；淘米集團累計製作播出動畫片約754集，包括《摩爾莊園》、《賽爾號》和《小花仙》，播放平台覆蓋國內350個省市電視台和主流新媒體平台。
公司表示，淘米集團經過十餘年的發展，已擁有數個國民級IP，培養出一批優秀的業務團隊，其對玩法設計、用户需求和IP價值有深入理解和多年實踐，並積累了大量優質穩定的用户資源。如本次交易能夠順利完成，淘米集團和公司將在IP開發、技術研發、產品運營和用户資源等多方面實現協同效應，有助於進一步拓展公司在文化娛樂領域的業務佈局，增強公司的持續盈利能力和發展潛力，提升公司的核心競爭力與市場地位。
