文山電力(600995.SH)：擬注入南方電網調峯調頻發電公司及置出購售電、電力設計及配售電業務 10月18日起復牌
格隆匯10月15日丨文山電力(600995.SH)公佈，重大資產置換：公司擬將主要從事購售電、電力設計及配售電業務的相關資產負債置出上市公司，並與交易對方持有的標的公司南方電網調峯調頻發電有限公司100%股權的等值部分進行置換。
擬置出資產主要包括上市公司在文山州內文山、硯山、丘北、富寧和西疇等五個市縣的直供電服務和對廣西電網百色供電局、廣西德保、那坡兩縣的躉售電服務的相關資產和負債，及上市公司持有的文電設計公司和文電能投公司100%的股權。
擬置入資產為標的公司100%股權，但在此次交易完成前，標的公司擬剝離其氣電業務的相關資產負債和持有的綠色能源混改基金的合夥份額。
公司可將擬置出資產直接進行置換，或將擬置出資產中非股權類資產和負債由其特定的全資子公司承接後，再實施資產置換。交易對方可以指定其下屬公司為擬置出資產承接主體。
發行股份購買資產：公司擬向交易對方以發行股份的方式購買擬置入資產與擬置出資產交易價格的差額部分。
公司擬向不超過35名(含35名)特定投資者以非公開發行股份的方式募集配套資金，募集配套資金總額不超過此次交易中擬以發行股份購買資產的交易價格的100%，且發行股份數量不超過此次交易中發行股份購買資產後上市公司總股本的30%。
此次交易前，公司主要經營購售電、發電、電力設計及配售電業務。 此次交易後，公司主要業務將轉變為抽水蓄能、調峯水電和電網側獨立儲能業務的開發、投資、建設和運營。公司將新增已投產運營的5座裝機容量合計 788萬千瓦的抽水蓄能電站和2座裝機容量合計192萬千瓦的可發揮調峯調頻功能的水電站、在建的2座裝機容量合計240萬千瓦的抽水蓄能電站以及電網側獨立儲能業務。
根據上海證券交易所的相關規定，經公司申請，公司股票將於2021年10月18日開市起開始復牌。
