烽火通信(600498.SH)：孫公司擬與信科移動印尼子公司簽署項目合作框架協議
格隆匯10月15日丨烽火通信(600498.SH)公佈，為加強公司國際市場開拓力度，確保烽火國際印尼子公司承接的印度尼西亞通信與信息建設工程局網絡覆蓋工程項目(“印尼項目”)得以順利實施，經雙方友好協商，公司孫公司烽火國際印尼子公司擬與信科移動印尼子公司簽署《項目合作框架協議》，由信科移動印尼子公司為印尼項目第一期工程提供部分所需原材料，併為印尼項目第一期工程提供無線通信技術服務。
公司間接控股股東中國信科持有信科移動印尼子公司的間接控股股東中信科移動通信技術股份有限公司(“信科移動”)51.27%股權，根據《上海證券交易所股票上市規則》有關規定，信科移動印尼子公司為公司關聯法人，此次交易構成關聯交易。
為加快公司國際化進程，加強國際市場開拓力度，烽火國際印尼子公司承接了印度尼西亞通信與信息建設工程局網絡覆蓋工程項目，該項目採用總包模式分期進行，包含無線基站、骨幹光纜環的網絡規劃、站點設計、總包建設、運維等。信科移動作為中國信科下屬移動通信業務的承載主體，具備提供優質無線通信技術服務的能力與條件，與信科移動合作有利於印尼項目的順利實施。鑑於此，經友好協商，公司孫公司烽火國際印尼子公司擬與信科移動下屬信科移動印尼子公司簽署《項目合作框架協議》。雙方按照協議約定，烽火國際印尼子公司向信科移動印尼子公司採購印尼項目第一期工程所需的部分無線產品原輔材料，並 聘用信科移動印尼子公司為印尼項目第一期工程提供無線網絡工程設計、建造、安裝、調試、測試、通信實現和維護等服務。
交易限額：烽火國際印尼子公司向信科移動印尼子公司採購的原輔材料價格按雙方籤訂的具體訂單執行，經雙方協商和測算，項目第一期總採購金額預計不超過人民幣3.5億元。
信科移動印尼子公司按照烽火國際印尼子公司的要求為印尼項目提供無線網絡工程設計、建造、安裝、調試、測試、通信實現和維護等服務，烽火國際印尼子公司向信科移動印尼子公司結算和支付服務費，具體的結算比例按各年度工作實施開展情況及雙方約定確定。經雙方協商和測算，項目第一期總服務費金額預計不超過人民幣4.5億元。
基於信科移動在移動通信技術服務方面的優勢，烽火國際印尼子公司與其子公司信科移動印尼子公司開展合作，共同服務客户，有利於提高公司品牌海外知名度，有利於公司加速海外市場的開拓。
