藏格控股(000408.SZ)：擬以25億元認購藏青基金的合夥份額 其將投資全球鹽湖鋰礦項目
格隆匯10月8日丨藏格控股(000408.SZ)公佈，公司於2021年10月8日召開了第八屆董事會第二十五次(臨時)會議，審議通過了《關於全資子公司擬參與認購產業發展基金份額的議案》，為了進一步提升公司在鹽湖提鋰領域的持續發展能力和整體綜合競爭力，充分利用專業投資機構的產業資源及產業投資管理優勢，全資子公司藏格投資(成都)有限公司(暫定，最終以工商註冊為準，“藏格投資”)擬使用自有資金25億元認購江蘇藏青新能源產業發展基金合夥企業(有限合夥)(“藏青基金”)的合夥份額。藏青基金目標募集規模為52億元，公司向藏青基金髮出了《基金認購確認函》，確認對藏青基金認繳出資25億元，佔基金總份額的48.07%。後續將與藏青基金正式簽訂《合夥協議》，履行認繳出資義務，基金管理權限與內容以相關協議約定為準，公司將持續跟蹤進展情況，及時履行信息披露義務。
該基金將投資全球鹽湖鋰礦項目。合夥企業的投資和運營將受到以下限制：(1)不得從事在證券交易市場買賣流通股股份等短期套利或投機的交易行為，但合夥企業從事其所投資項目退出時進行的證券交易行為不受限制；(2)不得直接投資或持有不動產，也不得投資或持有以投資不動產項目為目的的資產管理計劃、信託計劃、基金等項目；(3)不得從事導致合夥企業承擔無限責任的投資；(4)不得從事適用法律或有管轄權的監管部門禁止合夥企業從事的其他投資行為。
公司目前的主營業務為鹽湖鉀肥、碳酸鋰的生產與銷售，處於鋰電新能源產業鏈的上游，是世界範圍內唯一突破從超低濃度的鹽湖滷水中提鋰並實現工業化的鹽湖開發公司，藏青基金的主要投資方向為全球新能源電池原料鹽湖鋰礦項目，與公司存在戰略協同。
公司此次參與認購專業投資機構設立的投資基金，旨在通過藉助專業投資機構的團隊、資源和資金優勢，充分發揮公司在鹽湖提鋰領域的技術和工程化優勢，為公司的長期戰略發展目標服務，有利於提高公司的優質資源獲取與配置能力，進一步提升公司核心競爭力。從短期來看，對公司經營業績不會產生重大影響。從長期來看，併購基金投資的項目可作為公司併購標的池，在標的達到一定的盈利能力和規範程度後可由公司擇機優先收購，降低公司併購項目前期的決策風險、財務風險，減少併購過程中的不確定性，提高併購效率，降低投資風險，能更好地保護公司及全體股東的利益。
