泰加保險(06161.HK)獲董事會主席吳宇折讓約41.24%提收購要約 10月4日復牌
格隆匯9月30日丨泰加保險(06161.HK)公吿，於2021年8月29日，要約人Smart Neo Holdings Limited已向公司發出建議轉換可換股債券的通知，據此，要約人將行使其轉換權將金額為1.98億港元的部分可換股債券轉換，並將按轉換價每股轉換股份0.57港元獲配發3.48億股轉換股份。
緊隨建議轉換完成後，要約人將於(i)4.87億股股份中擁有權益，相當於公司經擴大已發行股本總額約49.99995%；及(ii)未轉換金額為2.02億港元的可換股債券中擁有權益，其可轉換為3.54億股轉換股份。
假設概無購股權已獲行使，倘建議轉換落實，於建議轉換完成後，要約人及要約人一致行動人士將於4.87億股股份中擁有權益，相當於公司當時已發行股本總額約50.05417%。因此，受限於且待建議轉換完成後並假設概無購股權已獲行使，要約人將須根據收購守則規則26.1就全部股份提出強制性無條件現金要約，每股要約股份現金0.57港元，較8月27日收市價每股0.970港元折讓約41.24%。
要約人為一間於香港註冊成立的有限公司，主要從事投資控股。要約人由吳宇博士（執行董事兼董事會主席）直接全資擁有。要約人認為建議轉換可減少本公司的債務負債。由於要約人可於該等要約截止後持有公司股權超過50%（因此間接持有TICL的股權），故要約人擬於緊隨該等要約截止後減持自股份要約購入的股份，以確保其在公司（因此間接於TICL）的股權減少至低於50%的水平，以遵從保險業條例。
要約人擬繼續經營集團的現有業務。於本聯合公吿日期，要約人並無計劃向集團注入任何資產或業務，或促使集團於非日常及一般業務過程中收購或出售任何資產。緊隨該等要約截止後，要約人將檢討集團的財務狀況及營運，從而制定集團的長遠策略，並開拓其他業務╱投資機會以加強其未來發展及鞏固其收入基礎。於本聯合公吿日期，要約人尚未物色到有關投資或業務機會。
此外，公司股票將於2021年10月4日復牌。
