晶澳科技(002459.SZ)：與東方雨虹簽訂戰略合作協議 在全國範圍內共同推動“BAPV”和“BIPV”光伏發電項目
格隆匯9月29日丨晶澳科技(002459.SZ)公佈，為深入推進分佈式光伏業務發展，進一步發揮各自行業優勢，2021 年9 月29 日公司與東方雨虹簽訂《戰略合作協議》，雙方秉承“真誠合作，優勢互補，共同發展，互利雙贏”的宗旨，在光伏屋面一體化領域進一步深化業務合作，在全國範圍內共同推動“BAPV”和“BIPV”光伏發電項目。具體合作模式包括：雙方共同研發光伏屋面一體化產品，共同推動光伏屋面市場營銷及修繕領域拓展工作；市場銷售渠道共享，推進光伏組件的銷售、TPO光伏一體化、既有建築光伏防水改造、修繕領域的市場拓展等，雙方優勢互補，同心協力，共贏未來。
合作模式如下：
1、雙方共同研發光伏屋面一體化產品，加強深度合作。優勢互補，形成供應鏈合作。
2、雙方共同推動光伏屋面市場營銷及修繕領域拓展工作，合力共贏。
東方雨虹在工民建領域和基礎建設領域、修繕領域等推廣積累了豐富的經驗，甲方在能源領域、工業建築光伏應用領域有獨特的綜合優勢，雙方可以資源共享，在新產品推廣、產品體系認證、行業標準規範助推等展開多維度多元化合作，從研發、生產、銷售、施工服務一體化，形成完整的供應鏈閉環。
3、雙方市場銷售渠道共享，共同推進光伏組件的銷售、TPO光伏一體化、既有建築光伏防水改造、修繕領域的市場拓展等，雙方優勢互補，同心協力，共贏未來。
雙方擬通過採取成立“有限責任公司”“有限合夥”等法律允許方式共同開發建設“BAPV”和“BIPV”光伏發電項目。甲方負責“BAPV”和“BIPV”光伏發電項目EPC工程的設計、施工，乙方負責有關“BAPV”和“BIPV”光伏發電項目屋項防水設計方案並提供防水材料，並承接施工項目。具體項目合作由雙方另行簽署項目合作協議進行約定。
4、合作範圍：甲乙雙方約定本協議有效期內，全國範圍內共同推動“BAPV”和“BIPV”光伏發電項目。同時，在雙方所轄業務渠道途徑包含的各類建築的修繕類、加固類、翻新類修繕項目，專項設備勘察技術諮詢服務事項及由此衍生的修繕材料供應及施工項目。
5、雙方合作期限為2021年9月29日至2026年9月29日。
6、合作方式：雙方渠道相互開放，並在發展可行的基礎上，雙方可以通過採取“聯合體”或成立“有限公司”、“有限合夥”等法律允許的方式進行開發建設“BAPV”和“BIPV”光伏發電項目等。無論採取哪種合作方式，資金均為自有資金。
公司此次與東方雨虹建立可持續發展的戰略合作伙伴關係，旨在進一步擴大光伏組件分銷渠道，深入推進BAPV/BIPV光伏發電的推廣。根據協議約定，雙方將共享資源、市場銷售渠道，共同推進光伏組件銷售，共同研發光伏屋面一體化產品，拓展光伏屋面發電市場等，有利於公司擴大分銷渠道的組件銷售和BAPV/BIPV等業務拓展，提升公司盈利能力，符合公司未來發展規劃需要，符合公司全體股東的利益。
