北新建材(000786.SZ)：北新防水已註冊成立 註冊資本為20億元且已向其過户多家防水企業
格隆匯9月26日丨北新建材(000786.SZ)公佈，此前披露，公司自2019年開始投資和佈局防水業務，已聯合重組多家防水企業。為進行管理整合和開展後續聯合重組，公司決定投資設立一家全資子公司作為投資和運營防水業務的平台。
截至公吿披露日，上述防水子公司已在北京市昌平區市場監督管理局註冊成立，統一社會信用代碼為 91110114MA04B6J83J，註冊的名稱為北新防水有限公司(以下簡稱北新防水)，註冊資本為20億元人民幣，法定代表人為管理，住所為北京市昌平區未來科學城七北路9 號，經營範圍為：“防水建築材料生產；防水卷材、防水塗料、防腐塗料、瀝青製品、隔音材料、吸音材料領域內的技術開發、技術服務、技術諮詢、技術轉讓；銷售建築材料、潤滑油、化工產品(不含危險化學品)；專業承包、勞務分包、施工總承包；貨物進出口、技術進出口、代理進出口；物業管理；租賃建築工程機械設備；道路貨物運輸(不含危險貨物)。(市場主體依法自主選擇經營項目，開展經營活動；道路貨物運輸(不含危險貨物)以及依法須經批准的項目，經相關部門批准後依批准的內容開展經營活動；不得從事國家和本市產業政策禁止和限制類項目的經營活動。)”
截至公吿披露日，公司已將所持有的多家防水企業的股權過户至北新防水名下，包括四川蜀羊防水材料有限公司70%股權、河南金拇指防水科技有限公司70%股權、北新月皇新材料集團有限公司(原上海台安實業集團有限公司)70%股權、北新禹王防水科技集團有限公司100%股權、北新禹王防水科技(安徽)有限公司100%股權、北新禹王防水科技(廣東)有限公司100%股權、北新禹王防水科技(四川)有限公司100%股權、北新禹王防水科技(湖北)有限公司100%股權、北新禹王防水工程有限公司100%股權、盤錦禹王橡膠製品有限公司100%股權、盤錦禹王化纖有限公司100%股權、北新防水(新疆)有限公司100%股權。前述股權過户後，將由公司直接持有防水企業股權變更為通過北新防水間接持有股權。
