雲圖控股(002539.SZ)：擬將所持科努德公司100%股權轉讓給湧達嘉益公司
格隆匯9月24日丨雲圖控股(002539.SZ)公佈，公司第五屆董事會第二十六次會議決議，審議通過了《關於對外轉讓成都科努德貿易有限公司100%股權的議案》。
公司全資子公司成都雲圖生活電子商務有限公司(“雲圖生活公司”)持有成都科努德貿易有限公司(“科努德公司”)100%股權。科努德公司主要從事房地產開發業務，主要資產為在建的房地產項目，不動產權證書號為川(2020)新都區不動產權第0016596 號。該土地使用權系根據成都市新都區用地規劃，由“工業用地”變更為“二類居住用地、服務設施用地”，科努德公司於2020年7月取得房地產開發企業暫定資質證書，該項目於2020年12月開工，位於成都市新都區工業大道西段508號，主要建設高層住宅，規劃用地面積為25189.89m2，總建築面積82,039.84m2，計容總建築面積58,399.89m2。截止公吿之日正在進行住宅部分的基礎建設，已取得《不動產權證》《建設工程規劃許可證》《建設工程施工許可證》《建設用地規劃許可證》等相關證照。
為了更好地推進發展戰略，進一步聚焦主業發展，雲圖生活公司擬與成都湧達嘉益貿易有限公司(“湧達嘉益公司”)簽署《股權轉讓協議》，將所持科努德公司100%股權轉讓給湧達嘉益公司。
此次交易根據具有從事證券、期貨相關業務資格的中聯資產評估集團有限公司出具的《成都雲圖控股股份有限公司擬瞭解成都科努德貿易有限公司淨資產價值項目估值報吿》(中聯評估字[2021]第 2310號)確認的科努德公司淨資產估值2585.43萬元為依據，考慮到科努德公司前期為公司全資子公司，其因支付土地出讓金等事項公司向其提供了借款，截止公吿之日，科努德公司欠付公司253,114,781.51元，經交易雙方協商一致，確定2585.43萬元系科努德公司100%股權轉讓對價，該股權轉讓款在協議簽訂後10個工作日內支付股權轉讓對價的50%；科努德公司股權變更登記辦理完成後10個工作日內支付股權轉讓對價的50%。253,114,781.51元系科努德公司須償還公司的應付款項，由科努德公司在2022年6月30日以前償還2000萬元；在2022年12月31日之前償還233,114,781.51元；自科努德公司股權變更登記辦理完成之日起，由科努德公司按照5%的年化利率支付利息；自2022年12月31日之後由科努德公司按照8%的年化利率支付利息；如逾期一年以上的，每逾期一日，公司有權要求科努德公司按逾期金額的萬分之八支付違約金。為保障公司收回前述款項，湧達嘉益公司及其實際控制人同意為科努德公司償還前述款項提供連帶保證責任，相關各方同時另行簽訂相關擔保協議。交易完成後，雲圖生活公司將不再持有科努德公司股權，科努德公司不再納入公司合併報表範圍。
根據《公司章程》等相關規定，此次交易涉及的金額在董事會的審批範圍內，無需提交股東大會審議。此次交易不構成關聯交易，亦不構成《上市公司重大資產重組管理辦法》規定的重大資產重組。公司董事會授權雲圖生活公司管理層辦理科努德公司轉讓的相關事宜。
