宏安地產(01243.HK)與合資企業夥伴訂立認購協議及股東協議

格隆匯9月24日丨WANG ON GROUP(01222.HK)及宏安地產(01243.HK)聯合公佈,2021年9月23日,Treasure Fountain(宏安地產的間接全資附屬公司)及合營公司(Crystal Castle Ventures Limited,完成前為宏安地產的間接全資附屬公司及完成後為擁有50%權益的實體)與合營公司夥伴(Jumbo Holding (BVI) L.P.,獨立第三方)訂立認購協議及股東協議,據此(其中包括),合營公司夥伴同意認購而合營公司同意按認購價1美元向合營公司夥伴配發及發行合營公司的一股股份,相當於合營公司經擴大已發行股本的50%。

合營公司於2021年8月註冊成立,為樂康的控股公司(透過中間控股公司),而樂康已訂立銷售條件及於投標完成時將成為該物業的註冊擁有人,並僅從事收購及持有該物業。投標完成預計將於2021年9月30日或前後落實。

該物業包括八層停車場平台,提供合共509個停車位,位於香港黃竹坑惠福道3號。該物業最初由宏安地產集團透過合營公司收購,(待投標完成後)以作可能的翻新、裝修或其他類似安排以供最終出售。然而,由於合營公司成立並隨後與合營公司夥伴商討後,同意該物業此後將持作投資物業出租及資本增值。

宏安及宏安地產董事認為,與合資企業夥伴在認購協議及股東協議方面的合作提供了一個良好機會,可善用宏安地產集團於物業投資及管理方面的知識及專業,與經驗豐富的投資者合作以擴張其業務,而收購該物業(待投標完成後)則有助其開發資產管理業務、加強及擴大物業投資組合,併為宏安集團及宏安地產集團帶來額外穩定資產管理費及分佔合營公司集團的經營溢利。
