中國寶力科技(00164.HK)擬成立合作公司 從事向採礦公司提供新應用服務
格隆匯9月23日丨中國寶力科技(00164.HK)公吿，於2021年9月23日，公司與香港華盈礦山技術有限公司("華盈礦山")，卓能環球有限公司("卓能")(統稱為"相關方")及國通集團有限公司("合作公司"，連同其附屬公司統稱"合作集團")訂立認購協議及股東協議，內容有關(其中包括)(i)成立及投資合作公司及(ii)華盈礦山授權合作集團使用若干知識產權。
華盈礦山於中華人民共和國("中國")擁有卓越的技能及專業磁鐵礦石開採技術。卓能與中國的礦業公司建立了廣泛的網絡及關係。公司將與相關方合作，將公司的伽瑪射線技術及專有知識整合至華盈礦山的乾磨乾選技術("乾磨乾選技術")中。通過該合作，經改良的技術將成為鐵礦山規劃及設計取得重大突破的基石。尤其是，其提供金屬鐵礦石的勘探、選礦、研磨及生產的實時評估("新應用")，這將極大提高精礦及礦團中的總鐵含量，同時亦滿足地質、經濟及環境方面的參數。
合作公司將主要從事向採礦公司提供新應用服務，以提升採礦及選礦流程的效率及生產力。根據該協議，華盈礦山同意授予或致使獲授合作公司非獨家永久及免專利費許可，以使用其乾磨乾選技術相關的若干專利、專有知識及技術。
中國自2021年七月起收緊對鐵礦石開採的生產控制。中國各地的鋼鐵生產限制令鐵礦石價格跌破100美元。鐵礦石價格自到達峯值以來已下跌逾40%。鐵礦石回調幅度或使所預測的價格下跌提前至2022年。鐵礦石價格的大幅下跌引起礦石市場參與者的興趣，致力降低成及改善質量。根據海運鐵礦石價格指數，目前含鐵量58%及含鐵量65%鐵礦石價格相差40%，故提高鐵礦石質量的經濟效益是巨大的。
通過公司及相關方間的業務合作，新應用的增強技術可以顯著提高精礦中的總鐵含量，同時幫助市場參與者滿足中國為遏制污染而設定的環境參數。公司認為成立合作公司將藉助華盈礦山及卓能的優勢、技術、資源及專長，且合作集團將提高彼等於鐵礦石產業市場份額。
根據該協議，合作集團亦將享受永久及免專利費許可，以於其業務中運用許可技術。訂立業務合作符合公司的長期戰略，以利用潛在的戰略投資及合作機會來實現顯著增長。此外，業務合作及利用新應用有望擴大集團的伽瑪射線業務。合作可為集團帶來額外收入，並提高集團的盈利能力，從而為公司股東帶來長期利益。
