三峽旅遊(002627.SZ)：減免中小微企業和個體工商户房租
格隆匯9月22日丨三峽旅遊(002627.SZ)公佈，公司於2021年9月22日召開的第五屆董事會第十六次會議審議通過了《關於減免中小微企業和個體工商户房租的議案》，為進一步幫助中小微企業降低成本、減輕負擔，積極履行企業社會責任，切實減輕中小微企業租户的經營壓力，根據《省人民政府辦公廳關於印發支持中小微企業降成本若干措施的通知》(鄂政辦發〔2021〕34號)、《省政府國資委關於2021年減免中小微企業和個體工商户房租的通知》(鄂國資產權〔2021〕38號)、宜昌市國資委《關於2021年減免中小微企業和個體工商户房租的通知》等文件要求，同意公司對符合條件的相關商户在政策要求範圍內進行房租減免。
根據《公司章程》規定，該事項在董事會審議權限範圍之內，無需提交股東大會審議。
減免範圍：按照宜昌市國資委相關文件要求，對承租公司及納入合併報表範圍內各級分子公司經營用房的中小微企業和個體工商户租金進行減免。如存在間接承租的，相關責任主體應與轉租方協商，將減免租金的政策落實到實際經營方。
減免對象：承租上述物業範圍的中小微企業和個體工商户。中小微企業認定標準參照《關於印發中小企業劃型標準規定的通知》(工信部聯企業〔2011〕300 號)有關規定，根據所屬行業予以確定。
減免標準：2021年月租金減免不少於20%。
減免期限：2021年1月1日至12月31日。
預計減免金額：不超過1300萬元，具體減免金額以實際執行金額為準。
為確保本扶持措施能夠儘快、有序、高效實施，董事會將授權公司經營管理層在有關法律法規規定範圍內全權辦理本次房租減免安排的相關事宜。
根據公司初步測算，此次減免房租安排，預計導致公司2021年營業收入減少不超過1300萬元，佔公司2020年經審計的營業收入比例不超過0.67%；預計導致公司2021年淨利潤減少不超過975萬元，佔公司2020年經審計的淨利潤比例不超過17.42%。此次減免房租安排對公司2021年營業收入、淨利潤的影響系未經審計的預估數據，最終以實際執行金額及會計師事務所審計後的結果為準。
此次減免房租安排是公司響應政府號召，幫助中小微企業和個體工商户穩定經營的重要舉措，亦是公司積極履行上市公司社會責任的具體表現，有利於進一步提升公司的社會形象及影響力，有助於營造良好的營商環境，促進區域及行業的可持續健康發展。
