深圳機場(000089.SZ):擬與機場雅仕維就衞星廳廣吿資源經營事宜簽署經營合同
格隆匯9月17日丨深圳機場(000089.SZ)公佈,深圳機場衞星廳擬於2021年底投入使用,為確保有效實現廣吿資源價值,公司通過深圳聯合產權交易所(“聯交所”)公開招選平台開展了衞星廳廣吿資源經營方公開徵集。截至公吿期滿,僅有深圳機場雅仕維傳媒有限公司(“機場雅仕維”)報名並通過資格審查。後按照程序,由聯交所組織公司與機場雅仕維開展了單一來源談判,確定其為最終中選方。現公司控股子公司深圳市機場廣吿有限公司(“機場廣吿”)擬與機場雅仕維就衞星廳廣吿資源經營事宜簽署《深圳機場衞星廳廣吿媒體經營合同》。
此次關聯交易標的為深圳機場衞星廳廣吿媒體的廣吿經營費。深圳機場衞星廳擬於2021年底投入使用,公司擬將深圳機場衞星廳272個廣吿媒體交由機場雅仕維運營管理,其中221個廣吿媒體交由機場雅仕維發佈廣吿,另外51個為全公益廣吿媒體,所有廣吿媒體均由機場雅仕維進行維護管理。該交易事項履行決策程序後,將由公司控股子公司機場廣吿與機場雅仕維簽署衞星廳廣吿經營合同。由機場雅仕維向機場廣吿支付廣吿經營費,廣吿經營費分為基本經營費和廣吿媒體資源使用費兩個部分計收。
交易的定價政策及定價依據:基本經營費定價主要為分攤的廣吿媒體資產折舊,定價標準按照衞星廳廣吿媒體預計總投資金額及折舊年限進行測算。同時,公司聘請了專業機構,對衞星廳廣吿資源價值進行評估,評估值作為廣吿媒體資源使用費公開招選掛牌最低限價。
廣吿經營費標準綜合考量衞星廳廣吿媒體投資成本及廣吿媒體資源價值進行確定,定價政策能夠符合公允性原則。前期已在聯交所公開平台廣泛徵集了意向方,資源價值已經過市場充分發現,且機場雅仕維最終報價高於公開招選掛牌最低限價,廣吿媒體資源使用費按照“底價”與“收入提成”兩者取高的方式計收,優於公吿條件,能夠最大限度保障公司利益。
機場雅仕維目前為公司T3航站樓及GTC廣吿資源運營主體,在機場廣吿資源經營管理方面積累了豐富的經驗,將有助於衞星廳廣吿資源價值的有效實現。
衞星廳廣吿資源採取的是授權經營模式,廣吿媒體資源仍歸公司所有,同時設定了明確的退出機制,因此該合同的履行不會影響公司的業務獨立性,也不會導致公司主要業務對機場雅仕維形成依賴。
