勝龍國際(01182.HK)：訂立該等協議及繼續經營外判業務流程管理
格隆匯9月17日丨勝龍國際(01182.HK)宣佈，於2021年9月17日，公司全資附屬公司Ace AdvantageDevelopments Limited("Ace Advantage")與Today Holdings Limited("管理人"，獨立於公司及任何其關連人士)且與彼等概無關聯之第三方)訂立兩份協議，內容有關澳門的外判業務流程管理業務。
根據該等協議，待取得澳門博彩股份有限公司及╱或澳門特別行政區博彩監察協調局之所有必要批准後，Ace Advantage將(其中包括)分別於澳門君怡娛樂場及皇家金堡娛樂場(統稱"該等娛樂場")的角子機大廳提供、設立及管理最少120台合格角子機及多終端機以及相關設備("角子機")以供營業。故而，Ace Advantage有權按月收取表現花紅，即管理人於該等娛樂場相關月份淨收入的固定百分比，而淨收入乃按該等娛樂場角子機所得總博彩收益減去(i)應付澳門政府之博彩及相關税項與(ii)澳博保留之份額總和後計算得出。集團已向管理人支付約3,200,000港元按金作為本集團與管理人就該等娛樂場的外判業務流程管理業務進行合作的費用╱開支。
儘管原協議已分別於2021年4月30日及2021年5月31日到期，該等娛樂場的外判業務流程管理業務仍處於持續運營狀態，蓋因管理人尚未物色到可替代集團的新供應商。集團與管理人已達成共識，集團於該中期期間將繼續於該等娛樂場經營外判業務流程管理業務，並有權收取根據原協議相關條款(與該等協議的條款相同)計算的表現花紅。鑑於集團已決定繼續經營外判業務流程管理業務作為其主營業務之一，各訂約方協定，該等協議將自原協議到期日(即2021年4月30日(君怡娛樂場)及2021年5月31日(皇家金堡娛樂場))起追溯生效。該等協議之年期初步分別為自2021年5月1日(君怡娛樂場)及2021年6月1日(皇家金堡娛樂場)起至2022年6月26日為止，Ace Advantage可選擇重續一年，惟受(i)管理人聯繫人已於2022年6月26日協議屆滿後將與澳博的服務協議延長超過一年；及(ii)管理人同意所限。
董事會相信，隨着澳門疫苗接種率持續上升及旅遊業逐步復甦，外判業務流程管理業務之財務表現料將於市場環境向好的背景下實現增長。此外，集團將通過提升運營效率及實施適當的成本管控措施，致力提升外判業務流程管理業務的盈利能力。考慮到上文所述，董事會對外判業務流程管理業務之可持續經營感到樂觀，並認為該等協議之條款屬公平合理及訂立該等協議符合集團及其股東之整體利益。
