漢邦高科(300449.SZ)：公司實控人收到北京證監局警示函
格隆匯9月13日丨漢邦高科(300449.SZ)公佈，公司於近日收到公司實控人王立羣轉來的中國證券監督管理委員會北京監管局下發的《關於對王立羣採取出具警示函行政監管措施的決定》(【2021】130 號)。警示函主要內容如下：
經查，你作為北京漢邦高科數字技術股份有限公司(以下簡稱上市公司)的控股股東、實際控制人，在上市公司 2018年發行股份並支付現金購買北京金石威視科技發展有限公司100％股權並配套募集資金時，存在向認購方“泰達宏利中兵投資2號定增＂的資金來源方華鑫國際信託有限公司做出保底收益承諾的情形，違反了《證券發行與承銷管理辦法》(證監會令第121號)第十七條的規定。
現根據《證券發行與承銷管理辦法》(證監會令第121號)第三十八條、第四十一條的規定，我局決定對你採取出具警示函的行政監管措施。你應遵守資本市場法律法規，嚴格履行信息披露義務。
公司於2017年實施發行股份及支付現金購買資產並募集配套資金暨重大資產重組事項，收購北京金石威視科技發展有限公司(“金石威視”)100%股權。同時，公司向包括泰達宏利基金管理有限公司(“泰達宏利”)在內的4名特定投資者發行新增股份14,833,331股，“泰達宏利”認購555.5555萬股，佔公司總股份的比例為3.28%。
泰達宏利通過“泰達宏利中兵投資2號定增”所持漢邦高科股份的實際投資人為中兵投資管理有限責任公司(“中兵投資”)，因中兵投資為國有企業，對出資的本金及收益的安全性保障要求較高，在其與泰達宏利等交易主體搭建的投資結構中設置了優先劣後架構以保證中兵投資的本金及收益。同時，中兵投資還要求上市公司實控人王立羣先生及配偶為泰達宏利的投資行為提供了連帶擔保。
自2019年10月15日開始，泰達宏利開始減持其所持漢邦高科股票，至2020年11月3日全部減持完畢。因未觸發擔保條件，王立羣及配偶勿需履行擔保的差額補足義務，並已經自然解除了擔保義務。
上述擔保行為系王立羣及配偶獨立向相關方做出的承諾並達成協議，並未吿知上市公司。
此次行政監管措施是對王立羣個人在公司2018年收購金石威視100％股權時，向認購方“泰達宏利中兵投資2號定增＂的資金來源方華鑫國際信託有限公司做出保底收益承諾的情形，且並未通知公司予以審議及披露行為的處罰。上述事項不會影響公司目前的生產經營管理活動。王立羣收到上述警示函後，高度重視警示函中指出的問題，表示將充分吸取教訓，切實加強對《上市公司信息披露管理辦法》等相關法律法規及規範性文件的學習，嚴格遵守公司的相關管理制度，杜絕此類事件的再次發生，維護公司及全體股東利益。公司將繼續嚴格按照相關監管要求和有關法律法規的規定及時履行信息披露義務。
