廣聯達溢價33%入股築友智造科技(00726.HK)
8月20日，築友集團旗下上市板塊——築友智造科技集團有限公司(股票代碼：00726 HK 以下簡稱"築友智造科技")發佈公吿，築友智造科技擬與廣聯達科技股份有限公司(以下簡稱"廣聯達")簽署股權認購協議，廣聯達擬通過香港子公司出資2.88億港元認購築友智造科技發行的3億股股份，每股認購價格0.96港元，佔發行後築友智造科技已發行股本的9.67%。
值得關注的是，截至8月20日收盤，築友智造科技股價為0.72港元，本次收購價格(0.96港元每股)超出現行股價達33%。
築友智造科技2021半年報顯示，截至2021年6月30日止年度，公司2021年上半年實現營業收入5.94億港元，同比增長48%；實現毛利潤1.7億港元，同比增長185%，淨利潤同比增長185%；年中結餘資金4.9億港元，同比實現94%的大幅增長；以PC構件及專利許可為主的主營業務收入達4.98億港元，同比增長35%，呈現出穩健的業績增長態勢。
此外，公吿還指出，廣聯達是中國建築工程信息化市場領導企業，雙方的業務合作及協同效應潛力巨大，可能會產生更高的經濟及運營效率，並增加投資回報。公吿披露，雙方約定本次募集資金中的9000萬港元將專項用於與建築業相關的數字化及軟件開發。
公開信息顯示，廣聯達業務覆蓋設計、造價、施工、運維、供採、園區，以及金融、高校、投資併購等領域，涵蓋工具軟件、解決方案、大數據服務、移動APP、雲計算服務、智能硬件設備、產業金融服務等多種業務形態，在全球建立有80餘家分子公司，服務客户遍佈全球100多個國家，已為31萬企業客户提供近百款專業應用產品及服務。
