美錦能源(000723.SZ)：擬以約1.07億元認繳出資參與投設中科美錦炭材料
格隆匯8月19日丨美錦能源(000723.SZ)公佈，為充分發揮各方優勢、強強聯合，推動山西美錦能源股份有限公司(“公司”“丙方”)的戰略發展佈局，公司與中國科學院山西煤炭化學研究所(“山西煤化所”“甲方”)、寧波炭美科技合夥企業(有限合夥)(“寧波炭美”“乙方”)及關聯自然人朱慶華(“丁方”)於2021年8月18日在山西省太原市簽署了《山西中科美錦炭材料有限公司投資協議》，公司以10725萬元認繳出資參與投資設立山西中科美錦炭材料有限公司(“中科美錦炭材料”，暫定名稱，最終名稱以工商審核名稱為準)，出資比例佔中科美錦炭材料出資總額的65.34%。
甲方、丙方以共同所有的無形資產“澱粉基超級電容活性炭批量化製備技術”出資，該無形資產由丙方委託甲方開發，根據雙方約定，甲方、丙方分別享有無形資產65%和35%的權益。乙方為甲方“澱粉基超級電容活性炭批量化製備技術”科技團隊設立的持股平台，甲方根據《中華人民共和國促進科技成果轉化法》及其內部關於科技成果轉移轉化的規定，另將其擁有的無形資產的50%權益或形成股權的50%獎勵給乙方。
此次研發技術團隊開發了10噸級澱粉基電容炭中試技術，突破了多項技術瓶頸，設計並建成10噸級澱粉基電容炭中試示範線，具備公斤級電容炭的批次穩定供貨能力，中試產品已經研究院測試中心檢測，並通過了中車新能源等主流超級電容器企業的應用評價。經中國石油和化學工業聯合會組織的會議評估，評估委員會專家一致認為該技術有望解決困擾我國超級電容器行業的瓶頸問題，實現超級電容活性炭的國產化，整體達到了國際先進水平。
此次對外投資有助於實現超級電容器關鍵電極材料國產化突破，解決儲能領域核心材料“卡脖子”難題，推動我國先進炭材料產業高質量發展，公司將開展合作項目的建設和運營，以及商業化運作，以一流的技術、產品、質量和管理創造一流的企業，從而保障公司和股東的最大利益。
