浙能電力(600023.SH)：擬與綠能電力共同收購新華龍 以間接參股張北巨人
格隆匯8月17日丨浙能電力(600023.SH)公佈，公司擬與浙江浙能綠能電力發展有限公司(“綠能電力”)共同收購河北新華龍科技有限公司(“新華龍”)，其中公司受讓75%股權，綠能電力受讓25%股權，並履行實繳出資義務，後適時按各自持股比例同步增資。浙能電力和綠能電力在新華龍保持一致行動。
綠能電力由浙江省新能源投資集團股份有限公司(“浙江新能”)和公司合資設立，浙江新能和公司分別持有綠能電力51%和49%的股權。
公吿顯示，張北巨人成立於2018 年，由綠巨人新能源有限公司(“綠巨人”)和新華龍合資設立，其中綠巨人持有張北巨人60%的股權。綠巨人為上海巨人能源科技有限公司的全資子公司。
張北巨人經營範圍包括微電網整體解決方案實施、綜合能源運營、熱電供應及銷售、光伏電站整體解決方案、風力發電整體解決方案、智能物聯網平台建設、儲能整體解決方案、熱氣熱電聯供系統開發、能源利用技術諮詢等。
根據河北省發展和改革委員會《關於下達張家口可再生能源示範區示範項目實施方案的通知》(冀發改能源[2018]1357號)，張北巨人獲批基於百兆瓦壓縮空氣儲能系統的綜合能源應用示範項目(“張北項目”)，該項目位於河北省張家口市張北縣，包括光伏發電500MW，風力發電300MW，儲能100MW等子項目。其中儲能項目採用中科院工程熱物理研究所的壓縮空氣儲能技術，建設不利用天然巖穴的國際首套百兆瓦先進壓縮空氣儲能示範項目。目前張北項目光伏發電240MW於2020年12月首次併網發電，其餘尚在建設中。
張北項目作為“風光儲”一體化的綜合能源項目，符合國家碳達峯碳中和新能源產業發展方向。公司通過受讓新華龍間接參股張北巨人，可促進公司可再生能源產業發展，符合公司發展戰略需求。
張北項目地處內蒙古高原南緣，光照條件趨於一類資源區，享受河北省二類資源區的較高電價。項目直接接入張北柔性直流試驗示範工程，同時配套儲能項目，有利於降低棄風棄光率，具有較好的投資價值。
