新城發展(01030.HK)建議分拆若干商業物業權益並於新交所獨立上市
格隆匯7月30日丨新城發展(01030.HK)公吿,公司建議透過分拆方式出售持有九項位於長三角地區及中國省會城市的房地產資產的多家子公司予一個信託,並將該信託內的該等證券在新交所主板獨立上市。將該等證券在新交所主板獨立上市構成第15項應用指引項下公司分拆該等證券。於2021年7月30日,聯交所已批准建議分拆。
於建議分拆及上市事項完成後,假設超額配股權獲悉數行使,新城控股(乃公司擁有約67.05%權益的子公司)預期將間接持有該等證券的51%至55%權益。
將注入該信託的房地產資產已發展至足以進行獨立上市的規模,而董事會確認建議分拆及豁免屬公平合理,並符合公司及其股東整體利益,理由如下:(a) 該信託將作為持有新城控股可能剝離的未來零售物業的高效平台。該等出售具有變現於該等物業所創建長期資本增值的潛力;(b) 新城控股(乃公司擁有約67.05%權益的子公司)預期將間接持有該信託的51%至55%權益,因此建議分拆將讓股東繼續自公司透過該信託擁有的初始投資組合及公司於該信託的權益所得的經常性可分派收入中得益;(c) 建議分拆將讓該信託建立其作為獨立上市集團的身份,擁有獨立的籌集資金平台及透過發售事項而擴闊其投資者基礎;建議分拆將增加該信託的營運及財務透明度,以及為投資者、投資市場及評級機構提供有關公司及該信託的業務及財務狀況的更大透徹度;及(d) 建議分拆將讓公司釋放價值及重新運用其資金以及釋出資源以供用於其核心物業發展業務及追尋增長機遇,並自其子公司(該信託的管理人)取得費用收入,為公司的投資組合加入寶貴而以費用為基礎的基金管理業務。
