促進吾悦廣場輕資產化,新城控股(601155.SH)擬設立信託基金
7月30日,新城控股(601155.SH)發佈公吿稱,正籌劃將通過境外控股子公司間接持有的、主要位於長三角區域和部分二線省會城市的9個商業物業作為底層資產,在新加坡設立信託基金,再申請向相關投資者發行信託份額,以實現於新加坡證券交易所主板上市。本事項完成後,公司預計將間接持有上述信託基金51%-55%的信託份額。
後續, 新城控股於新加坡設立的間接控股子公司信誠資產管理有限公司,將作為本次擬設立信託基金的管理人,預計於2021年8月1日或之前,向新交所遞交上市申請表格,以申請批准該信託基金於新交所主板上市。
在資產證券化的道路上,長期堅持"住宅+商業"雙輪驅動戰略的新城控股,此前已經多次嘗試吾悦廣場經營性物業貸、CMBS 資產證券化產品等,如今再次取得了較大突破,尤其是在打通商業地產"投、融、管、退"鏈條、研究持有型物業退出平台方面,邁出了有力一步。
對於新城控股而言,設立信託基金並上市,是對公司商業地產開發全流程打通的一次探索嘗試,有利於公司拓展融資平台並擴大投資者基礎,優化公司資產負債結構;有利於促進公司商業地產的輕資產化運作,提高公司商業地產開發運營能力,實現公司長期可持續發展。
新城控股方面也強調,本次擬設立的信託基金的底層資產僅包括公司持有的9個商業物業,規模相對較小,且於發行完成後公司預計仍將間接持有該信託基金51%-55%的信託份額,預計對公司財務狀況和經營成果不構成重大影響。
在資產證券化方面先行一步,得益於新城控股在商業地產領域的多年深耕。跨過百店開業規模,伴隨吾悦廣場開業項目數量逐步增加,和已開業商場運營逐步成熟帶動收入提升,吾悦廣場運營效果更為突出。數據顯示,2021年上半年新城控股實現商業運營總收入為39.38 億,同比上漲近73%。截至2021年7月25日,新城控股開業、在建及擬建吾悦廣場總數量已達到174座,進駐全國130個城市。
申萬宏源最新研報指出,商場作為承載居民生活配套的重要載體,其成功運營能夠提供税收和就業,並且是十四五內循環、促消費戰略的重要落實環節,也是助力政府實現共同富裕、提升生活質量的好幫手,而新城控股商場板塊已經具備先發優勢,規模及運營能力也排名行業前列,2020年上半年租管費39.38億元,同比增加73%,持續高增,預計21年租管費超85億元,同比增加49%,並預計2021-2023年公司租管費複合增長率超35%,公司乘風快速成長。
