微創醫療(00853.HK)：MicroPort Cardiac Rhythm Management C輪融資1.5億美元 高瓴認購2000萬美元
格隆匯7月26日丨微創醫療(00853.HK)發佈公吿，於2021年7月26日，集團若干成員公司與8名投資者訂立協議，據此，該等投資者及附屬公司同意以認購目標公司MicroPort Cardiac Rhythm Management Limited C輪優先股的方式向目標公司作額外注資，合共總金額為1.5億美元。
目標公司為一間於開曼羣島註冊成立及存續的獲豁免公司，專注於開發及商品化植入式起搏器及除顫器裝置以及相關技術，以管理心律失常。待交易完成後，目標公司投資後估值將達到約12.5億美元。
據悉，投資者A SPR-VI Holdings Limited為一間於開曼羣島註冊成立的獲豁免公司，認購金額2000萬美元。Hillhouse Investment Management, Ltd（高瓴投資）作為Hillhouse Fund IV, L.P.的唯一管理公司，而Hillhouse Fund IV, L.P.擁有投資者A。
投資者B星利有限公司為一間根據英屬處女羣島法律註冊成立的投資控股公司，並由CGVC Company Limited全資擁有，該公司為中國主要物業發展商Country Garden Holdings Company Limited（股份代號：2007）的間接全資附屬公司。投資者B主要專注於房地產投資以外的股權投資。
本次增資及引入新投資人將為目標集團帶來進一步加強其產品研發和市場開拓所需的資金，從而有助於目標集團更好地提升其市場競爭力、拓寬市場資源，並促進快速發展。同時，本次增資及引入新投資人也有利於進一步提升集團的品牌影響力和市場價值。
認購事項可提供額外資金，滿足目標集團執行發展計劃的資金需求。此外，待協議完成後，目標公司將引入更多外部投資者，預期為目標公司研發、製造及市場開拓方面的發展帶來更多市場資源，並提高其市場競爭力。
