帝科股份(300842.SZ)：擬以初步價12.47億元收購江蘇索特100%股權 明起復牌
格隆匯7月15日丨帝科股份(300842.SZ)披露發行股份購買資產並募集配套資金暨關聯交易預案，本次交易的整體方案由發行股份購買資產和募集配套資金兩部分組成。
本次交易上市公司擬通過發行股份向泰州索特、上海併購基金、富海三期、富海卓越、益流實業、杭州源胤、一村摯耕、御物珠寶、榕棠達鑫、蘇州毅榮、上海曦今、鄧振國、毛成烈、呂家芳、史衞利購買其持有的江蘇索特100%股權。交易完成後，上市公司持有江蘇索特100%的股權，上市公司將實現對標的公司的控制。
同時，上市公司擬以向不超過三十五名符合條件的特定對象發行股份的方式募集配套資金，本次募集配套資金總額不超過擬發行股份購買資產交易價格的100%，且發行股份數量不超過本次發行前上市公司總股本的30%。
本次發行股份購買資產的交易對方史衞利為上市公司控股股東、實際控制人；交易對方富海三期、富海卓越與上市公司5%以上股東富海新材、富海二期受同一實際控制人控制；交易對方泰州索特、上海併購基金的執行事務合夥人均為海通併購資本，本次交易完成後，泰州索特、上海併購基金合計持有上市公司股份比例預計超過5%。
經交易各方友好協商，本次發行股份購買資產的發行價格為43.95元/股，不低於定價基準日前60個交易日公司股票交易均價的80%。根據標的資產的初步交易價格12.47億元和上述發行價格測算，上市公司向交易對方共計發行股份28,373,142股。
本次交易前，上市公司主要從事高性能電子材料的研發、生產和銷售，是國內光伏導電銀漿領域的領先企業；標的公司主要從事新型電子漿料的研發、生產和銷售，其旗下的Solamet®業務深耕電子漿料行業三十餘載，在光伏導電銀漿領域具備傳統優勢地位。
本次交易完成後，上市公司可充分借鑑標的公司全球化的管理和研發經驗，與標的公司開展協同研發與聯合創新，不斷擴展優勢產品組合，增強市場競爭力。同時，上市公司與標的公司將通過研發、產品、品牌、市場、管理等方面實施有效協同，實現優勢互補，以進一步提升綜合實力、提升市場佔有率。
此外，公司股票將於2021年7月16日(星期五)開市起復牌。
