中銀絨業(000982.SZ)：繼續增資聚恆益公司 其所在等靜壓石墨行業
格隆匯7月6日丨中銀絨業(000982.SZ)公佈，2021年7月6日，公司召開第八屆董事會第二次會議，審議通過了《關於繼續增資都江堰市聚恆益新材料有限公司的議案》，同意甲方(自然人股東胡宗貴、肖志瓊)、乙方成都向恆、丙方聚恆益簽訂《增資及股權轉讓協議書之補充協議》，公司全資子公司成都向恆以現金2660萬元溢價認購聚恆益新增注冊資本4,136,054.27元人民幣，其餘22,463,945.73元計入聚恆益的資本公積金，增資完成後，聚恆益註冊資本為10,666,666.27元，成都向恆持有聚恆益70%的股權。此次增資完成後，成都向恆將繼續出資2058萬元收購胡宗貴、肖志瓊持有的聚恆益公司30%股權。此次股權轉讓完成後，成都向恆持有聚恆益公司100%股權。
聚恆益新材料自成立至今，一直圍繞“專業石墨化”的核心業務，主要以等靜壓焙燒、等靜壓石墨化及鋰電池負極材料石墨化加工三部分業務組成，2018年到2021年之間連續被成都市經濟和信息化局評為“成都新材料企業”。
等靜壓石墨作為一種新型炭石墨材料，具有各向同性、耐高温、耐腐蝕、高電導、高熱導、自潤滑、低膨脹係數及高温高強度等優良性能，被廣泛應用於光伏太陽能熱場材料、電火花模具加工以及硬質合金(真空爐發熱器、燒結板等)、採礦(製造鑽頭模具)、化工(換熱器及防腐件)、冶金(鉗鍋)、機械(機械密封)等領域。基於鋰電池負極材料石墨化工序是負極材料生產核心工序之一，聚恆益新材料積極開展鋰電池負極材料、增碳劑、炭/炭複合材料的石墨化加工的研究和開發工作。
聚恆益新材料的核心團隊從事石墨化領域技術研究和生產25年，具有豐富的石墨化生產以及產品銷售的經驗。此次投資實施後，該團隊將繼續作為聚恆益新材料的核心技術和運營團隊，負責工藝研發、產品生產及銷售，可保障該公司經營持續、穩定。
根據國家“十四五規劃及二〇三五年遠景目標”中對新能源、新材料行業的戰略規劃和發展前景，公司看好新能源、新材料行業的長期發展機會，擬從新能源鋰電池材料為切入點進入新能源行業，通過資源整合、互惠合作等方式，逐步穩健擴大產業規模，增強公司的盈利能力，提升公司業績和可持續發展能力。
在半導體、太陽能光伏發電領域，等靜壓石墨材料被用來深加工為硅晶生長設備用石墨部件。由於單晶替代多晶進程在不斷加速，對等靜壓石墨的需求大幅增加；硅晶體尺寸不斷變大，硅生長設備用石墨部件要求石墨坩堝、石墨熱場等材料向高純度、大型化和高端化技術發展。目前聚恆益所在的等靜壓石墨行業，將具有良好的市場前景和較大的市場空間。聚恆益為滿足行業及客户需求，預升級改造爐體、擴大產能。此次繼續增資聚恆益公司，可以補充聚恆益流動資金，加大技改投入，提升公司業績，實現“雙主業”經營目標。
