南都電源(300068.SZ)：相關信披不準確 收到浙江證監局警示函
格隆匯7月2日丨南都電源(300068.SZ)公佈，公司於近日收到中國證券監督管理委員會浙江監管局下達的行政監管措施決定書《中國證券監督管理委員會浙江監管局關於對浙江南都電源動力股份有限公司及相關人員採取出具警示函措施的決定》(〔2021〕32號)，警示函內容如下：
“浙江南都電源動力股份有限公司、王海光、朱保義、王瑩嬌、曲藝：
我局在日常監管中發現浙江南都電源動力股份有限公司(“南都電源”)存在以下問題：南都電源於2021年1月30日披露《2020年度業績預吿》，預計2020年度實現歸屬於上市公司股東的淨利潤為盈利2.5億元至3.4億元。2021年4月3日，南都電源披露《2020年度業績快報暨業績修正公吿》，預計2020年度實現歸屬於上市公司股東的淨利潤為-27928.2萬元，與《2020年度業績預吿》差異較大，相關信息披露不準確。
上述行為違反了《上市公司信息披露管理辦法》(2007年)第二條、第三條的規定。公司董事長王海光、總經理朱保義、時任財務總監王瑩嬌及董事會祕書曲藝對上述事項負有責任。根據《上市公司信息披露管理辦法》(2007年)第五十八條、第五十九條的規定，我局決定對南都電源、王海光、朱保義、王瑩嬌、曲藝分別採取出具警示函的監督管理措施，並記入證券期貨市場誠信檔案。你們應當充分吸取教訓，加強相關法律法規學習，建立健全並嚴格執行財務和會計管理制度，提高公司規範運作水平和信息披露質量，並於收到本決定書之日起十個工作日內向我局提交書面整改報吿，杜絕今後再發生此類違規行為。
如果對本監督管理措施不服，可以在收到本決定書之日起60日內向中國證券監督管理委員會提出行政複議申請，也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行。”
公司及相關責任人收到警示函後，高度重視警示函中指出的問題，深刻反思公司規範運作及信息披露中存在的不足，將切實加強對《上市公司證券發行管理辦法》、《上市公司信息披露管理辦法》、《深圳證券交易所創業板股票上市規則》等相關法律法規、規範性文件的學習，強化合法合規意識，充分吸取教訓，嚴格遵守證券法律法規，依法合規履行信息披露義務；同時公司董事、監事、高級管理人員將認真履行勤勉盡責義務，促使公司規範運作，不斷提高信息披露質量，維護公司及全體股東利益，促進公司健康、穩定、持續發展。
