智雲股份(300097.SZ)：公司處於無控股股東、無實控人狀態
格隆匯7月1日丨智雲股份(300097.SZ)公佈，公司於近日收到公司股東譚永良的通知，譚永良於2021年6月30日通過深圳證券交易所大宗交易系統減持公司股份577.0993萬股，佔公司總股本的2%。
此次大宗交易後，譚永良直接持有公司股份4072.7507萬股(無限售條件的股份)，並通過乾誠科技間接持有公司股份117.9783萬股(無限售條件的股份)，合計持有公司股份4190.729萬股，佔公司股份總數的14.52%。
根據中國證券登記結算有限責任公司深圳分公司出具的截至2021年6月30日的股東名冊，此次大宗交易完成後，公司前十大股東持股情況如下：
根據上表，此次大宗交易完成後，公司前五大股東(一致行動人合併計算)分別為譚永良及乾誠科技、師利全及其一致行動人(師利全、陳美玉、周非)、小米科技(武漢)有限公司、大連智雲自動化裝備股份有限公司－第二期員工持股計劃和安吉凱盛，持股比例分別為15.05%(表決權口徑)、11.42%、5.37%、4.63%、2.27%。公司前五大股東持有的股份比例均較低且前兩大股東的股權比例較為接近，所享有的表決權均不足以對股東大會產生重大影響，均不能控制公司董事會，且均不能決定董事會半數以上成員選任。截至本公吿披露日，除上述已披露的一致行動關係外，前五大股東與上市公司其它股東之間沒有就一致行動、表決權委託等可能導致其在上市公司的權益發生變動的事宜達成任何協議或作出任何安排。
根據《公司法》、《上市公司收購管理辦法》等相關規定，並結合公司前述前五大股東持股情況及提名董事情況，公司不存在單一股東或股東及其一致行動人持股比例達到50%以上的情形；公司不存在單一股東或股東及其一致行動人實際可支配的股份表決權超過30%的情形；公司第五屆董事會4名非獨立董事和3名獨立董事均由董事會提名，不存在股東提名董事的情況。公司不存在單一股東或股東及其一致行動人通過實際支配公司股份表決權能夠決定公司董事會半數以上成員選任的情形；亦不存在單一股東或股東及其一致行動人依其可實際支配的公司股份表決權足以對公司股東大會的決議產生重大影響的情形。
綜上所述，譚永良將不能再認定為公司的控股股東及實際控制人。因此，經公司審慎判斷，公司認為此次大宗交易完成後，公司無控股股東、無實際控制人。
